Distributor Locations means the facilities owned, staffed, or managed by Distributor identified in the Program Schedule (or subsequently approved in writing by the Parties) where Distributor provides the Distributor Services.

Examples of Distributor Locations in a sentence

  • This provision does not restrict Distributor from conducting any business at any facility other than Distributor Locations.

  • If the portion of the Area of Responsibility deleted from Distributors previous Area of Responsibility contains any approved Distributor Location(s) then Company will repurchase Products and Parts and signs in accordance with Article 8.2 and will provide premises assistance in accordance with Article 8.3 of this Agreement.

  • In the event that Marketer or CBKC has reasonable suspicion to believe that fraudulent or other illegal activity is taking place at one or more of the Distributor Locations or with respect to the performance of the Distributor Services, such Party shall promptly notify the other Parties in reasonable detail as to the basis of such belief.

  • Distributor shall maintain one or more places of business as set forth on the list of Distributor Locations attached to this Agreement as Exhibit A entitled "Distributor Locations." These locations are the only locations to which Philips will ship Products to Distributor unless otherwise specified on individual Product Exhibits.

  • Distributor shall ensure that staff at Distributor Locations and the staff of Mission Critical Third Parties are knowledgeable of the fees and substantive terms of each Program and Applicable Law relating to the functions performed by such staff.

  • Distributor may sell or promote at Distributor Locations products and parts which do not compete with Products and/or Parts marketed by Company if Distributor provides notice to Company of its intention to do so reasonably in advance of the commencement of such activity and if Distributor is otherwise in compliance with its responsibilities under this Agreement.

  • Authorized personnel at each Distributor Locations shall ensure that Card Packets are securely maintained at all times during and after normal business hours.
