Distribution Availability definition

Distribution Availability means, as of any date of determination thereof by the Administrative Agent, the result, if a positive number, of:

Examples of Distribution Availability in a sentence

  • Declare or make any Distributions provided that Borrower may make Distributions to Parent so long as prior to and after giving pro forma effect to such Distribution (a) no Event of Default has occurred and is continuing, or would result from such Distribution, and (b) if such Distribution is a Discretionary Distribution, Availability is greater than or equal to $500,000.

  • A “ Distribution Availability Date” may occur only once during each fiscal quarter and shall be a date on or prior to the tenth (10th) day following a Payment Date.

  • Cash Dominion Trigger Period: the period commencing on the day that (a) an Event of Default occurs or (b) Average Distribution Availability is less than the greater of (i) $25,000,000 or (ii) 25% of the aggregate Revolver Commitments at such time.
