Distribution Arrangements definition

Distribution Arrangements has the meaning given in standard condition 25 (Long Term Development Statement).
Distribution Arrangements in the Prospectus constitute the only information furnished in writing to the Company by the Dealer Manager expressly for use in such document; and the Dealer Manager confirms that such statements are correct.
Distribution Arrangements means those arrangements, whether or not such arrangements are binding, and whether written or oral, to which Seller, any of the Asset Transferor Entities or any other Affiliate of Seller is a party relating to the distribution of the products of the Business, including those identified, by distributor and territory, on Schedule 1.36.

  • Tax Sharing Arrangement means any written or unwritten agreement or arrangement for the allocation or payment of Tax liabilities or payment for Tax benefits with respect to a consolidated, combined or unitary Tax Return which includes the Company.

  • Foreign Benefit Arrangement means any employee benefit arrangement mandated by non-U.S. law that is maintained or contributed to by any Credit Party or any of its Subsidiaries.

  • Transaction Payroll Taxes means the employer portion of any payroll or employment Taxes incurred or accrued with respect to any bonuses, option exercises, payments to employee stock option holders or other compensatory payments made in connection with the transactions contemplated by this Agreement.
