Distribution Arrangement definition

Distribution Arrangement shall have the meaning set forth in Section 3.8(b) hereof.
Distribution Arrangement means one or more commercial agreements between Safeway and the Borrower or any Subsidiary thereof pursuant to which Safeway agrees to participate in the program relating to the marketing and distribution of the prepaid products and related services described therein and/or other programs operated by Blackhawk Arizona or its Affiliates, whether such agreements exist on the Closing Date or are entered into thereafter.
Distribution Arrangement means a non-exclusive end user license or distribution license that is an arm’s length transaction, in the ordinary course of business, under which NSC or its Sublicensee grants a non-Affiliate end-customer or distributor a sublicense to the right to use, reproduce, sell or otherwise distribute a Commercial NSC Product including any such arrangement where such third party is granted a sublicense to reproduce the Commercial NSC Product for purposes of distribution or to make the Commercial NSC Product available to others on a hosted or ASP basis or to provide a Licensed Service. Except as provided in Section 2.4(f), a “Distribution Arrangement” shall not include any arrangement where NSC or its Sublicensee grants any entitlement or access to the source, script or other human-readable code of a Commercial NSC Product or any right to modify a Commercial NSC Product. Notwithstanding the preceding sentence, NSC or its Sublicensees may, pursuant to a Distribution Arrangement, copy and grant access to the source, script or other human-readable code of a Commercial NSC Product in accordance with a software source code escrow entered into by NSC or its Sublicensees for the benefit of its or their Sublicensees or its or their respective customers and end users subject to the restrictions on the distribution of certain SLC Software set forth in Exhibit B hereto. A “Distribution Arrangement”shall not include any license to Licensed Services except to the limited extent necessary to permit use of the Commercial NSC Products in the form provided by NSC or as modified by a Sublicensee to the extent permitted by Section 2.4(f) below. -7- (c)

Examples of Distribution Arrangement in a sentence

  • To the extent that (i) the Senior Agent deems it appropriate to enter into any agreement with any party to any Third Party Financing or Distribution Arrangement and (ii) as a result thereof, each of the Senior Agent and the Subordinated Lender and/or the Subordinated Creditors will be required to enter into an intercreditor agreement, interparty agreement or similar agreement thereunder, the Subordinated Creditors hereby agree to enter into any such agreement so approved by the Senior Agent.

  • Net Sales shall not include amounts charged by SLC or its Affiliate to a Sublicensee pursuant to a sublicense agreement other than a Distribution Arrangement, including fees for licenses and other Royalty-Bearing Offerings provided by SLC or its Affiliate to such Sublicensee.

  • Net Sales shall not include amounts charged by NSC or its Affiliate to a Sublicensee pursuant to a sublicense agreement other than a Distribution Arrangement, including fees for licenses and other Royalty-Bearing Offerings provided by NSC or its Affiliate to such Sublicensee.

  • Net Sales shall include amounts charged by SLC or its Affiliate to a Sublicensee pursuant to a Distribution Arrangement, including fees for licenses to Commercial SLC Products and other Royalty-Bearing Offerings provided by SLC or its Affiliate to such Sublicensee, whether calculated on a fixed, per-time period, per-unit, per-user, per-transaction, percentage-of-sales or other basis.

  • STI has performed all obligations required to be performed by it to date under each Distribution Arrangement and, to the best knowledge of STI, each of the other parties thereto or bound thereby has performed all the obligations required to be performed by it to date thereunder.

  • If LICENSE OWNER fails to execute and deliver to COMPANY the executed Special Distribution Agreement within such fifteen (15) day period or commence such Special Distribution Arrangement within the period specified therein, then LICENSE OWNER shall have no right to operate such Special Distribution Arrangement thereafter.

  • If COMPANY, at any time and in its sole discretion, determines to offer LICENSE OWNER the right to operate a Special Distribution Arrangement at a Special Distribution Location designated by COMPANY, COMPANY will so notify LICENSE OWNER by delivering to LICENSE OWNER a form of Special Distribution Agreement.

  • COMPANY reserves the right under the Special Distribution Agreement, at any time and in its sole discretion with or without cause and regardless of the investment made by DEVELOPER in establishing or operating the Special Distribution Arrangement or the length of time the Special Distribution Arrangement has been in effect, to suspend or terminate DEVELOPER's right to operate the Special Distribution Arrangement, effective ninety (90) days after COMPANY's written notice to DEVELOPER.

  • Notwithstanding the preceding sentence, SLC or its Sublicensees may, pursuant to a Distribution Arrangement, copy and grant access to the source, script or other human-readable code of a Commercial SLC Product in accordance with a software source code escrow entered into by SLC or its Sublicensees for the benefit of its or their Sublicensees or its or their respective customers and end users.

  • If COMPANY, at any time and in its sole discretion, determines to offer DEVELOPER the right to operate a Special Distribution Arrangement at a Special Distribution Location designated by COMPANY, COMPANY will so notify DEVELOPER by delivering to DEVELOPER a form 18 25 of Special Distribution Agreement.

Related to Distribution Arrangement

  • Distribution Plan means the plan hereafter approved by the MDL Court for the distribution of the Settlement Amount (net of any attorneys’ fees or costs that are awarded by the MDL Court) to Stanford Investors who have had their Claims allowed by the Receiver.
