Dissolving Entity definition

Dissolving Entity means as is specified in clause (e) of Schedule 8.15 of the Disclosure Letter. “Dollar”, “Dollars”, “U.S. Dollars” and the symbol “$” means, in each case, the lawful currency of the United States of America. “Domestic Subsidiary” means any Subsidiary of any Loan Party that is organized under the Laws of the United States, a State thereof or the District of Columbia. “Drawing Date” means as is specified in Section 2.8(c) [Disbursements, Reimbursement].
Dissolving Entity. Interest Coverage Ratio”, “Leaf Capital Event”, “Leaf Entity”, “Miscellaneous Excluded Subsidiary”, “Real Estate Venture Investments”, “Seventh Amendment,” “Seventh Amendment Effective Date” and “St. Cloud Investment” as new definitions, reading in full as follows:
Dissolving Entity means each of RAI Acquisition Corp., Resource Banking Advisory and Management, Inc., Resource Properties XXXV, Inc., RRE Highland Lodge Leaseco, LLC, and Resource Financial Advisors, LLC.

Examples of Dissolving Entity in a sentence

  • After the Closing Date, each Selling Entity and each Dissolving Entity shall discontinue use of the name “▇▇▇▇▇▇▇ ▇▇▇▇▇,” “MC” and any similar name.
