Dissolving Entities definition
Dissolving Entities means, collectively, (i) Peak Technologies Canada Limited, a corporation governed by the laws of Ontario, Canada, and (ii) Quality Color Press Inc., a corporation governed by the laws of Alberta, Canada.
Dissolving Entities has the meaning set out in Clause 5.3
Dissolving Entities means any affiliate of Seller which is part of the PED Business and which, as of the Closing Date, is in the process of liquidation but has not filed for a Certificate of Dissolution with the applicable Secretary of State or equivalent proceedings;

The Dissolving Entities do not (i) own any assets, (ii) have any liabilities, or (iii) engage in any business activity.
The Company holds all the agreements and any other assets in respect of or related in any way to the Project and none of the Dissolving Entities hold any asset or is a party to any agreement in relation to the Project or otherwise.
As of the Eighth Amendment Effective Date, the Additional Dissolving Entities have, and at all times subsequent to the Eighth Amendment Effective Date and prior to dissolution will have, no assets.
The Seller shall indemnify the Purchaser and the Company for any liablity, cost or damage incurred or suffered by the Company in relation to the Dissolving Entities or the liquidiation thereof.
