  • Any changes not so specified in such Dispute Settlement Statement shall be deemed waived and Seller’s determinations with respect to all such elements of the Final Settlement Statement that are not addressed specifically in such Dispute Settlement Statement shall prevail.

  • The Parties shall undertake to agree on the final statement of the Adjusted Purchase Price no later than 30 days following Seller’s receipt of Purchaser’s Dispute Settlement Statement delivered hereunder.
