Disposition Factor definition

Disposition Factor means, with respect to a Sale of the Project, (a) in the case of an interest in the Project, the percentage of interest in the Project sold, transferred or otherwise disposed of, or (b) in the case of an interest in an entity which owns an interest in the Project, the product of the percentage of interest in such entity (the "Transferred Entity") that is being sold, transferred or otherwise disposed of times the percentage of interest that such entity owns in the Project. If the Transferred Entity does not own an interest in the Project, but owns an interest in another entity which owns an interest in the Project (the "Ownership Entity"), then for purposes of clause (b) of this definition the Transferred Entity shall be deemed to own an interest in the Project that is equal to the product of the percentage of interest which the Transferred Entity owns in the Ownership Entity times the percentage of interest which the Ownership Entity owns in the Project. If the Transferred Entity does not own an interest directly in the Ownership Entity, but does own an interest indirectly in the Ownership Entity through one or more other entities, then the percentage of interest which the Transferred Entity owns in the ownership Entity shall be the result of applying the calculation set forth in the preceding sentence to the ownership relationships of the entities through which the Transferred Entity owns an interest in the Ownership Entity.

  • Disposition Value means, at any time, with respect to any property

  • Disposition Date shall have the meaning ascribed thereto in Subsection 5.1(d);

  • Dilution Factors means, without duplication, with respect to any period, the aggregate amount of all deductions, credit memos, returns, adjustments, allowances, bad debt write-offs and other non-cash credits which are recorded to reduce accounts receivable in a manner consistent with current and historical accounting practices of the Borrowers.

  • Participation Factor means a percentage to be determined in the reasonable discretion of the Issuer (billiges Ermessen) (§ 315 BGB) on the Strike Date on the basis of the volatility of the Underlying and the market conditions prevailing on such date and will be published in accordance with § 14 hereof. The indication for the Participation Factor based on the market conditions as of 15 November 2017 is 100% (in any case, it will not be below 80%).

  • Power Transfer Distribution Factor or “PTDF” shall mean a measure of the responsiveness or change in electrical loadings on Transmission Facilities due to a change in electric power transfer from one area to another, expressed in percent (up to 100%) of the change in power transfer in the pre-contingency configuration of a system under study.
