Dispatch Cost definition

Dispatch Cost means a projection of the incremental cost to operate the Unit on a per megawatt hour basis, whereby such projected incremental cost shall include only those variable costs projected to be incurred by Seller that, once incurred, will be reflected on Seller's monthly income statement. No later than two (2) Business Days prior to the start of a calendar month. Seller shall approve the Dispatch Cost to be used for the upcoming month. For the avoidance of doubt, the pricing provisions in this Agreement that reference Dispatch Cost shall mean the Dispatch Cost approved by the Seller two (2) Business Days prior to the start of each calendar month and there shall be no true up to reflect the actual costs reflected on Seller's income statement. Dispute has the meaning ascribed to such term in Section 8.1.
