Disengagement definition

Disengagement means the complete transition of terminated Services from the Service Provider, its Affiliates and its Subcontractors in respect of Transnet, its Affiliates and any Third Parties as part of the Disengagement Services and in cooperation with Transnet so as to not cause any unnecessary interruption of, or cause any unnecessary adverse impact on the Services, any Other Services and/or services provided by Third Parties;
Disengagement means the planned process by which the current provider (in-house or other vendor) disengages its services from the Client.

Examples of Disengagement in a sentence

  • In the event of a dispute between the Parties, State Street will continue to so perform its obligations under the Service Modules in good faith during the resolution of such dispute unless and until such Service Modules are terminated in accordance with the provisions hereof (or after the expiration of any applicable Disengagement Assistance, if later).

  • The provision of Disengagement Assistance by State Street shall be subject to (a) any restrictions or limitations imposed by applicable State Street Laws or (b) other measures reasonably necessary to protect the Intellectual Property or Confidential Information of State Street (including that of its customers).

  • MUIS shall reasonably cooperate with the Trust to provide transition assistance and act in good faith to allow an orderly transition of services and to minimize disruption to the Trusts and to their ongoing business during the Disengagement Period.
