The Receiving Party agrees that it will not disclose Confidential Information, either in written or verbal form, which is received from the Disclosing Part and will hold such Confidential Information in strict confidence and not disclose it to any person including employees, advisors, or agents except those who need to know in order for the Receiving Party to fulfil its obligations under this Agreement.

If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Part is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Information.

If the Party required by Law to disclose Confidential Information is unable to inform the Disclosing Part prior to disclosure of its Confidential Information, the Receiving Party shall (provided it is lawful to do so) fully inform the Disclosing Party in writing as soon as possible after such disclosure of the circumstances of such disclosure and of the Confidential Information which has been disclosed.
