disclosed material means information produced, or to which access is given, under a disclosure agreement;
disclosed material has the meaning as set forth in Section 1.1.6.

disclosed material means any information furnished by one party to the other or any of its Representatives in whatever form or medium provided, whether prior to or after the date hereof, and any notes, memoranda, summaries, analyses, and other materials relating thereto or based thereon prepared by the receiving party or its Representatives but shall not include information which (i) is already in the receiving party's possession, (ii) is or becomes generally available to the public (other than as a result of disclosure by the receiving party or its Representatives), or (iii) is or becomes available to the receiving party on a nonconfidential basis from a source other than the other party or its Representatives, provided that such source is not under an obligation (whether contractual, legal or fiduciary) to the disclosing party to keep such information confidential. Other than materials prepared by the receiving party or its Representatives and relating to or based on Disclosed Material received by it, all Disclosed Material shall be disclosed to the receiving party in writing identifying it as confidential, or if first orally or visually disclosed, shall be identified as confidential in a writing delivered to the receiving party within (***) of such disclosure.
