Disabled Party definition

Disabled Party has the meaning given to it in 1.9 below.

Examples of Disabled Party in a sentence

  • During an event of Force Majeure the Disabled Party is excused from performing the Agreement.

  • If the Contractor is unable to make, supply, perform, carry out or complete the Supply due to a Force Majeure Event, or, if the Purchaser is unable to perform its obligations under the Agreement due to a Force Majeure Event, then the Disabled Party must immediately notify the other in writing of its anticipation, its occurrence, its expected duration and its end.

  • A Disabled Party shall take all reasonable actions to lessen the impact of the Force Majeure Event on the Unaffected Party’s business (including, in Silgan’s case, the building of inventories in anticipation of, in Silgan’s reasonable belief, labor disputes).

  • If the Disabled Party learns that the original estimated duration of the inability to perform is incorrect and the duration of the inability to perform must be extended in a material respect, the Disabled Party shall provide prompt written notice to the other as soon as it becomes aware of the extended duration of the disability.

  • The Disabled Party shall give written notice to the other party (the “Unaffected Party”) within such reasonable time as may be practicable after the occurrence of a Force Majeure Event (and in any event within forty-eight (48) hours thereof), and, insofar as known, the probable extent to which the Disabled Party will be unable to perform or will be delayed in performing its obligations hereunder.

  • The Disabled Party shall give the Unaffected Party prompt written notice when the cause or causes of delay, interruption or prevention of performance have been eliminated.

  • If the cause of the claim of force majeure is not relieved or waived by the Disabled Party during the Relief Period, then CRUISES and DISTRICT shall each, independently, have the right to terminate this Agreement within thirty (30) days following the end of Relief Period; provided, that the Disabled Party shall also have the right to terminate this Agreement at any time during the Relief Period.
