Direction Statement definition

Direction Statement means the Direction Statement at the time it is initially delivered to the Directing Participants and all amendments or supplements thereto, if any, similarly delivered. None of the information included by the Company in the Direction Statement shall be false or misleading with respect to any material fact or omit to state any material fact necessary in order to make the statements made, in light of the circumstances in which they are made, not misleading, and the Company agrees to correct any information included therein that shall become false or misleading in any material respect at any time after the date on which the Direction Statement is delivered to the Directing Participants.
