Directed Supplier has the meaning set forth in Section 2.8.

Directed Supplier means any Seller from which Victrex has been directed, requested or recommended to procure Goods by a Victrex customer and/or the ultimate Original Equipment Manufacturer (“OEM”) customer, or when, due to a customer’s product description, specification or other limitation, Victrex is limited to such Seller for the Goods required.

  • Notwithstanding the foregoing, if an [HW Gen] Component subject to RASI F is secured from a Directed Supplier, then Continental is not responsible for the PPAP of such Component.

  • Honeywell has no liability for any transactions between Supplier and a Directed Supplier and Supplier shall not look to Honeywell for fulfillment of any obligations of a Directed Supplier.

  • In the event Buyer’s amendment reflects that a new or currently utilized Raw Material will be available through a Directed Supplier, Manufacturer shall negotiate terms with such Directed Supplier in accordance with Section 4.04(b).

  • In the event that ▇▇▇▇▇▇ makes such election with respect to one (1) or more Directed Components, Rivian will notify Amazon with respect thereto within [***] of receiving the applicable Directed Supplier Notice.

  • Buyer shall then negotiate the terms of its arrangement with such Directed Supplier in accordance with Section 4.04(b).

  • Such details shall be transmitted using the mode of communication agreed between the Host PES and Directed Supplier.
