While CGS-CIMB will put in place suitable internal controls governing Direct Strategy Access to the extent commercially reasonable and practicable, the Client acknowledges and agrees that the performance of Direct Strategy Access is subject to and may be affected by external factors which are outside CGS-CIMB's control or contemplation, and CGS-CIMB is not responsible or liable for, and expressly disclaim any warranty or guarantee in relation to, the performance of any Direct Strategy Access.
Without limitation to the foregoing, the Client agrees that, in the event the actual price and volume of a DMA Transaction differ from the objectives of the Client’s Direct Strategy Access, the actual price and volume of such DMA Transaction shall be final, conclusive and binding on the Client.
If necessary, CGS-CIMB may, in CGS-CIMB’s sole discretion, provide training and/or training materials to the Client on the use and operation of the Direct Strategy Access and any algorithm contained therein; the risk, supervisory and compliance controls applicable to the Direct Strategy Access; and any material changes to the design and development of the Direct Strategy Access.
