Direct Purchases definition

Direct Purchases means [***] percent ([***]%) of the actual direct cost of all [***], other than [***], purchased by Portola at Cytokinetics' written request for use by or on behalf of Cytokinetics pursuant to the Collaboration.
Direct Purchases are defined as goods purchased by Buyer from Seller that are directly incorporated into the transmissions manufactured by Buyer and become a part of such transmissions.
Direct Purchases means purchases of good and services from Retailer and financed on Accounts which purchases are transacted by Retailer through its call center. Direct Purchases specifically exclude ECOM Purchases.

Examples of Direct Purchases in a sentence

  • Prior to the final payment, a final reconciliation of Owner Direct Purchases against the GMP will be performed and such deductive Change Order will be prepared for Owner’s review and approval.

  • Within thirty (30) days after the GMP is established, Construction Contractor will process one (1) or more deductive Change Orders under the Contract for the entire estimated amount of Owner Direct Purchases, inclusive of sales taxes.

  • With respect to all Direct Purchases by Owner, Contractor shall remain responsible for coordinating, ordering, inspecting, accepting delivery, storing, handling, installing, warranting and quality control for all Direct Purchases.

  • Notwithstanding anything herein to the contrary, Contractor expressly acknowledges and agrees that all Direct Purchases shall be included within and covered by Contractor’s warranty to Owner to the same extent as all other warranties provided by Contractor pursuant to the terms of the Contract Documents.

  • Owner shall assign to Construction Contractor any and all warranties and rights Owner may have from any manufacturer or supplier of any such Direct Purchases by Owner.

  • A Change Order shall be processed promptly after each Direct Purchase, or group of similar or related Direct Purchases, unless otherwise mutually agreed upon between Owner and Contractor.

  • Construction Contractor acknowledges that Owner’s target savings to be achieved by Owner Direct Purchases of construction materials and equipment is twenty-five percent (25%) of the Contract Amount.

  • Owner Direct Purchases - showing Owner direct purchase commitments, payments, sales tax savings, balance to be paid, deductive change order reference and pay application line reference.

Related to Direct Purchases

  • Net Purchases means purchases of goods and services charged to the Account, less refunds and adjustments;

  • Purchases On the settlement date for the purchase (or earlier, if market practice requires delivery of the purchase price before the settlement date), Bank will debit the Cash Account for the settlement amount and credit a separate account at the Bank. Bank then will post the Securities Account as awaiting receipt of the expected Financial Assets. Customer will not be entitled to the Financial Assets that are awaiting receipt until Bank or a Subcustodian actually receives them. Bank reserves the right to restrict in good faith the availability of contractual settlement date accounting for credit or operational reasons.

  • Direct Debit means a payment service for debiting a payer’s payment account, where a payment transaction is initiated by the payee on the basis of the payer’s consent given to the payee, to the payee’s payment service provider or to the payer’s own payment service provider;

  • Component purchases means purchases of the component parts of an item that in normal purchasing practices would be made in one purchase. “Separate purchases” means purchases, made sep- arately, of items that in normal purchasing practices would be made in one purchase. “Sequential purchases” means purchases, made over a period, of items that in normal purchasing practices would be made in one purchase.

  • Direct Investments means assets which are not Underlying Funds.
