Direct Affiliates definition

Direct Affiliates means, with respect to any Seller, such Seller’s Affiliates, including without limitation Watco and its direct and indirect subsidiaries, but specifically excluding, (i) the Wind Point Partner entities, such entities’ portfolio companies (other than Watco and its subsidiaries), and such portfolio companies’ subsidiaries and (ii) the P&L Companies.

Direct Affiliates means, collectively, each direct and indirect Subsidiary of the Company and each other Person controlled by the Company or collectively by the Company and its direct or indirect Subsidiaries. For purposes of this definition "control" of a Person shall have the meaning set forth in the second sentence of the definition of "Affiliate".
