  • The Award described in this Agreement has been granted subject to the terms of the DIRAP.

  • The DIRAP plan document and this Agreement constitute the entire understanding between the Company and Participant regarding the Award and supersede all previous written, oral, or implied understandings between the parties hereto about the subject matter hereof, including any written or electronic agreement, election form or other communication to, from or between Participant and the Company.

  • In the event of a conflict between this Agreement and the DIRAP plan document, the DIRAP plan document will control.

  • The terms of this Agreement will be deemed severable so that if any of its provisions will be held void, unlawful, or unenforceable under any applicable statute or other controlling law, the remainder of this Agreement will continue in full force and effect, and will be construed and enforced in accordance with the purposes of the DIRAP and the Award as if the illegal or invalid provision did not exist.

  • Furthermore, if Participant is a Covered Individual on the Award Date, or becomes a Covered Individual at any time while this Award is outstanding, then in exchange for the benefits provided by this Award, Participant hereby acknowledges and agrees that the Clawback Provisions shall be applicable to any component of the Participant’s DIRAP awards that would otherwise be subject to recovery pursuant to the Clawback Provisions.

  • In the event of a conflict between this Agreement and the DIRAP plan document, this Agreement will control.

  • The authority set forth in this Subsection 2(f), to the extent it may be different from the authorities of the Committee set forth in the DIRAP or the SIP, shall be deemed to be in addition to, and not in limitation of, any such authorities.

  • If Participant transfers to a subsidiary of Citigroup that does not participate in DIRAP, CAP or DCAP, unvested Awards will continue to vest on schedule subject to all other provisions of this Agreement.

  • The authority set forth in this Subsection 2(f), to the extent it may be different from the authorities of the Committee set forth in the DIRAP, shall be deemed to be in addition to, and not in limitation of, any such authorities.

  • In the event of a conflict between the DIRAP plan document and this Agreement, the DIRAP plan document shall control.
