Diligence Documents definition

Diligence Documents means the documents and other information relating to any member of the Group made available to the Subscriber on the USB (or other means via the online platform of Baidu Netdisk (百度网盘)) provided by, or on behalf of, the Issuer to the Subscriber or its Representatives prior to the date of this Agreement, the receipt of which is hereby acknowledged by the Subscriber;
Diligence Documents means the documents provided in hard copy to the Parent and the responses to the Parent's due diligence request list, the latter of which is appended to the Company Disclosure Letter;
Diligence Documents means (a) the documents made available to Purchaser in the Data Room, or (b) any documents which are otherwise obtained by, or in the possession of, Purchaser or any of its Affiliates prior to the date of this Agreement in connection with, as a result of, or arising from the joint venture operations of Falikang.

Examples of Diligence Documents in a sentence

  • Unforeseen Allowance is a sum set aside for unforeseen conditions that differ from representations in the Contract Documents or Due Diligence Documents or meet the requirements under Article 13.15.5 and 18.

  • Contractor shall be required to undertake Site mitigation or remediation at its sole cost for items identified in the Due Diligence Documents provided to Contractor.

  • Seller shall reasonably cooperate with Purchaser to obtain any consents required in connection with an assignment of any of the Due Diligence Documents.

  • Buyer agrees to maintain in confidence the information contained in the Due Diligence Documents (the “Transaction Information”).


More Definitions of Diligence Documents

Diligence Documents means all information, representations, reports, agreements, certificates, instruments and other documents delivered, or required to be delivered, to Purchaser, MDC Services, Inc. or their Affiliates or their advisors or legal counsel pursuant to Purchaser’s due diligence investigation of Seller in connection with the transactions contemplated hereby.
Diligence Documents means the documents provided in hard copy to the Parent and the responses to the Parent’s due diligence request list, the latter of which is appended to the Company Disclosure Letter;
Diligence Documents has the meaning set forth in Section 6(a).
