Digital Locker Functionality definition

Digital Locker Functionality means the functionality that allows a Customer’s Included Programs to be managed by a “digital locker,” which enables such Customer to access and obtain on demand at such Customer’s discretion a Stream or an Electronic Download of an Included Program previously acquired pursuant to a valid Customer Transaction from a “digital locker” to an Approved Device, for a period of time commencing with the Customer Transaction applicable to such Included Program and ending at the conclusion of the Continued Access Period.
Digital Locker Functionality means functionality that, after the Customer Transaction applicable to the applicable Customer’s right to use the applicable Included Program, allows a Customer’s Included Programs, subject to the following provisions, be managed by a “digital locker”, that enables the Customer, in certain circumstances, to securely and verifiably download and re-download the applicable Included Programs to Target Devices from time to time at the Customer’s discretion at any time within 10 years after the Customer’s initial Customer Transaction for the applicable Included Program; provided, however, that (i) Amazon shall ensure that (a) the aggregate number of Target Devices on which any particular Included Program is viewable at any given time is no more than four and (b) the aggregate number of Portable Devices on which any particular Included Program is viewable at any given time is no more than two; and (ii) in order to use the Digital Locker Functionality, the applicable Customer must be logged in to the Service after providing a secure password that enables transactions from such Customer’s account without having to provide additional credit card, billing, security or other information (save that Amazon may implement reasonable “parental control” functionality designed to ensure that parental authorization is required for a Customer Transaction, download and playback of certain designated content).” Currently, the “Digital Locker Functionality” functions solely on an all-or-nothing basis (i.e., on a device-by-device basis and not an Included Program-by-Included Program basis) in a manner that requires the secure de-authorization of an entire Target Device such that the Target Device can no longer access any of the Included Programs (either on a streaming or download basis) (and the removal from such device of the Service-related client software) [Sony: Our digipol is reviewing this] before another Target Device is authorized to replace the original Target Device. Digital Locker Functionality means the functionality that allows a Customer’s Non-UV Included Programs to be managed by a “digital locker,” which enables a Customer to access and obtain on demand at such Customer’s discretion a Stream or Electronic Download of a Non-UV Included Program previously acquired pursuant to a valid Non-UV Customer Transaction from a “digital locker” to an Approved Device via Approved Transmission Means. In the event this Agreement is (a) terminated by Licensee in accordance with the terms of this Agreement or (b) expires, then Licensee’s right to enable Digital Locker Functionality for Non-UV Included Programs shall survive (subject to the terms of this Agreement, the Content Protection Requirements and Obligations set forth in Schedule B of this Agreement and Non-UV Usage Rules) for up to five (5) years following any such expiration or termination. Notwithstanding the foregoing, if this Agreement is terminated by Licensor in accordance with the terms of this Agreement, Licensee shall cease enabling Digital Locker Functionality for Non-UV Included Programs as soon as commercially reasonable but in no event later than thirty (30) days from the date such termination is effective (during which period, Customers shall be permitted to Electronically Download each Non-UV Included Program for which they have engaged in a Non-UV Customer Transaction).

Examples of Digital Locker Functionality in a sentence

  • During the Term and during the Continued Access Period, Comcast shall have the right to enable Digital Locker Functionality for such Included Programs.

  • Amazon shall not issue Technical Credits in any circumstances where Digital Locker Functionality used in compliance with this Agreement would enable the applicable customer to re-download the applicable Included Program without the need to issue a Technical Credit.

  • Notwithstanding anything to the contrary contained in this Agreement, CDD shall have the right to Withdraw Included Programs that are Feature Films (in the circumstances described in subclauses (a) and (b) above) even after the Term, in which event such withdrawal shall apply to post-withdrawal Digital Locker Functionality (and thus Streaming Functionality) servicing and utilization (i.e., complete Withdrawal).

  • In the event of a Withdrawal under subclause (c) above, the removal of the applicable Included Program shall be limited to Withdrawal of the Included Program from further Customer Transactions on the Service, and shall not include a withdrawal of Digital Locker Functionality and Streaming Functionality.

  • CDD shall have the right to suspend the availability (“Suspension”) of its Included Programs on the Service (including Digital Locker Functionality) at any time during the Term in the event of a Security Breach or Territorial Breach by delivering a written notice to the Amazon of such Suspension (a “Suspension Notice”).

  • Notwithstanding anything to the contrary contained in this Agreement, CDD may exercise its Television Program Withdrawal right in the circumstances described in subclauses (a) and (b) of this subsection even after the Term, in which event such withdrawal shall apply to post-withdrawal Digital Locker Functionality (and thus Streaming Functionality) servicing and utilization (i.e., complete withdrawal).

  • For the avoidance of doubt, in no event shall any rights of Amazon and/or its customers with respect to Digital Locker Functionality be greater after the Term of this Agreement than they were during the Term of this Agreement.

  • Notwithstanding the foregoing, CDD acknowledges that, subject to Sections 14.1 and 14.2, Amazon shall be entitled to retain archival copies of Included Programs after the expiration or termination of this Agreement solely as necessary to provide Customers, after the Term, with ongoing access to and continued downloads of Included Programs subject to a valid Customer Transaction during the Term pursuant to the Digital Locker Functionality feature of the Service and in accordance with Usage Rules.

  • Within 30 calendar days after the expiration or termination of this Agreement, Amazon shall destroy (or return to CDD) all Advertising Materials for Included Programs which are then in Amazon’s possession; provided, however, that Amazon shall be entitled to retain a copy of the same to the extent required to support the Digital Locker Functionality in a manner allowed by this Agreement.

  • Notwithstanding anything herein to the contrary, Licensor shall continue to have the right to withdraw Included Programs after the expiration or termination of the Term, in which event such withdrawal shall apply to post-withdrawal Digital Locker Functionality.

Digital Locker Functionality means the functionality that allows a Non-UV Customer’s Non-UV Included Programs to be managed by a “digital locker,” which enables such Non-UV Customer to access and obtain on demand at such Non-UV Customer’s discretion a Stream or an Electronic Download of an Included Program previously acquired pursuant to a valid Non-UV Customer Transaction from a “digital locker” to an Approved Device, for a period of time commencing with the Customer Transaction applicable to such Included Program and ending at the conclusion of the Continued Access Period.
Digital Locker Functionality means the functionality which enables DHE Customers to access and obtain on demand at such DHE Customer’s discretion up to an unlimited number of retransmissions of such DHE Customer’s DHE Included Program(s) previously paid for and acquired pursuant to a DHE Customer Transaction in the Approved Format from the DHE Service to an Approved Device via the applicable Approved Transmission Means.
Digital Locker Functionality means functionality that allows an ODRL Customer’s ODRL Included Programs purchased on an ODRL basis, subject to the following provisions, to be managed by a “digital locker” service owned and operated by Amazon or its Affiliates that enables the Customer to securely and verifiably download and re-download the applicable ODRL Included Programs to Target Devices from time to time at the ODRL Customer’s discretion at any time within 10 years after the ODRL Customer’s initial ODRL Customer Transaction for the applicable ODRL Included Program (the “Digital Locker Term”); provided that with respect to all ODRL Customer Transactions made prior to the Effective Date, the Digital Locker Term will be 10 years from the Effective Date; and provided, further, that (i) Amazon shall ensure that (a) the aggregate number of Target Devices on which all programs are viewable at any given time is no more than four and (b) the aggregate number of Portable Devices on which all programs are viewable at any given time is no more than two; and (ii) in order to use the Digital Locker Functionality, the Authorized Device must be associated with the Customer Account of the applicable ODRL Customer or the applicable ODRL Customer must be logged in to the Service after providing a secure password that enables transactions from such ODRL Customer’s account without having to provide additional credit card, billing, security or other information (save that Amazon may implement reasonable “parental control” functionality designed to ensure that parental authorization is required for an ODRL Customer Transaction, download and playback of certain designated content).”
Digital Locker Functionality means the functionality that allows a DHE Customer’s DHE Included Programs to be managed by a “digital locker,” which enables a DHE Customer to access and obtain on demand at such DHE Customer’s discretion a redelivery of a DHE Included Program previously acquired pursuant to a DHE Customer Transaction in the DHE Approved Format from a “digital locker” to an Approved Device via the applicable DHE Approved Transmission Means, for a period of time commencing with the DHE Customer Transaction applicable to such DHE Included Program and ending on the earlier to occur of (a) three (3) years thereafter and (b) any earlier termination of Licensee’s right to enable Digital Locker Functionality for DHE Included Programs pursuant to this Agreement.
