Differentiated Cells definition

Differentiated Cells shall refer to the differentiated terminal cell types created from iPS Cells by CDI from the laboratory samples (as defined in Section 14.1) and supplied to Lilly under the MyCell Work Plan.

Examples of Differentiated Cells in a sentence

  • No royalty shall be due with respect to the sale of (a) a therapeutic drug product not requiring continued use of the iPSC Lines or Differentiated Cells or (b) other discoveries not requiring continued use of the iPSC Lines or Differentiated Cells.

  • Any use of the CIRM iPSC lines, Derivatives or Differentiated Cells to make or develop cellular therapies for human treatment is expressly excluded from the license grants here and constitutes a breach of this Agreement.

  • For example, small molecule or biological pharmaceuticals identified or discovered using the CIRM iPSC line or lines licensed hereunder or the Differentiated Cells do not incur royalty obligations under this agreement.

  • For the avoidance of doubt, Principal Investigator and Institution shall not use Materials, Modified Materials, Unmodified Materials or Differentiated Cells themselves, or the results of their use, in or in connection with the healthcare treatment of a patient.

  • Principal Investigator and Institution shall not use Materials, Modified Materials, Unmodified Materials or Differentiated Cells directly or indirectly to derive or make any human gamete or gamete precursor cell.

  • Neither CIRM nor FCDI shall obtain any ownership, license or other rights in or to any and all discoveries or inventions that Principal Investigator and/or Institution invents, reduces to practice, discovers or creates utilizing Materials, Modified Materials, Unmodified Materials or Differentiated Cells (except as expressly provided otherwise in Section 6.f.), and all intellectual property rights embodied in any such discoveries or inventions shall be retained by Principal Investigator and/or Institution.

  • Recipient cannot sell or otherwise transfer (a) the Differentiated Cells (b) its components, or (c) materials made by the employment of this Product or its components to a third party or otherwise use Differentiated Cells or their components or materials made by the employment of this Product or its components for Commercial Purposes.

  • Other than as expressly set forth in the MyCell Work Plan and in Section 5 of the MSA, CDI makes no representations or warranties, express or implied, including without limitation warranties related to the merchantability or fitness of the iPS Cells or Differentiated Cells for a particular purpose or non-infringement, and all iPS Cells and Differentiated Cells are provided by CDI “as is” and without any warranties of any kind.
