DIAGNOSTIC TECHNOLOGY definition

DIAGNOSTIC TECHNOLOGY means (i) all inventions (whether or not patentable), results, discoveries, improvements, know-how, techniques, materials, compounds, products, designs, processes or other technology or intellectual property rights related to a Diagnostic Product owned or licensed (with the right to sublicense) by GTC and first developed, created, conceived or reduced to practice solely by GTC employees or Third Parties, including without limitation Academic Collaborators, acting on behalf of GTC or its Affiliates either prior to the Effective Date hereof or thereafter during the course of the Research Collaboration or the course of GTC's development activities under Section 3.3.1, and (ii) all information and data in the possession of GTC that is not generally known, existing as of the Effective Date or created by GTC during the Research Collaboration or in the course of GTC's development activities under Section 3.3.1, whether or not secret, patentable or patented, relating to materials, methods, processes, procedures, protocols, techniques, and formulae reasonably useful for the development, regulatory approval, manufacture, sale or use of the Diagnostic Products.
DIAGNOSTIC TECHNOLOGY. Diagnostic Technology means any Know-How that is Controlled (disregarding any grant of rights to SANOFI-AVENTIS pursuant to this Agreement) by Merrimack, itself or jointly with SANOFI-AVENTIS, as of the Effective Date and thereafter during the Term, that is used in, or necessary or useful for, the research, development, manufacture or commercialization of any Diagnostic Product.
DIAGNOSTIC TECHNOLOGY means any information, inventions, and discoveries made, conceived, derived, or otherwise reduced to practice by the Scientist related to the Field.

Examples of DIAGNOSTIC TECHNOLOGY in a sentence

  • If the Company does, within such 60-day period, deliver to the Scientist such written expression of the Company's interest in the Diagnostic Technology so disclosed, the Scientist and the Company will enter into a binding license agreement (each a "DIAGNOSTIC TECHNOLOGY LICENSE AGREEMENT"), having the terms set forth in Section 5 hereof, within ninety (90) days after the date such written expression of interest is delivered by the Company to the Scientist.

  • If Calypte does, within such 60-day period, deliver to Chronix such written expression of Calypte's interest in the Diagnostic Technology so disclosed, Chronix and Calypte will enter into a binding license agreement (each a "DIAGNOSTIC TECHNOLOGY LICENSE AGREEMENT"), having the terms set forth in Section 5 hereof, within ninety (90) days after the date such written expression of interest is delivered by Calypte to Chronix.
