DH Director definition

DH Director means any director of the Company that DHL is entitled to designate pursuant to any agreement among DHL, the Company and any other stockholders of the Company.

  • The Company hereby acknowledges that one (1) or more of the directors nominated to serve on the Board of Directors by the Investors, including the DH Director and the Perceptive Director (each a “Fund Director”) may have certain rights to indemnification, advancement of expenses and/or insurance provided by one or more of the Investors and certain of their Affiliates (collectively, the “Fund Indemnitors”).

  • So long as the Lead Investor, together with its Affiliates, own in the aggregate 10% or more of the issued and outstanding Equity Shares of the Corporation on a Fully Diluted Basis, the Lead Investor shall have the right to designate an additional outside DH Director to the Board who shall be independent of the Lead Investor and the Corporation.
