Not later than the last Day of each Month, starting on the second Month after the Month in which the First DFCD occurs, Seller shall provide a written report to Buyer, in form and substance determined by Seller acting in good faith, that sets forth information regarding certain carbon dioxide and methane emissions associated with each cargo delivered hereunder in the prior Month.
This Agreement shall enter into force and effect as set forth in Section 2.3.1 and, subject to Section 19, shall continue in force and effect until the tenth (10th) anniversary of the First DFCD (the “Term”).
Subject to adjustments for major scheduled maintenance, partial Contract Years, and the Contract Year in which the Second DFCD occurs, the first (1st) Tranche shall consist of not less than fifty percent (50%) and not more than sixty percent (60%) of the AACQ, and the second (2nd) Tranche shall consist of the remainder of the AACQ.

Each window period identified in this Section 4.2 may be extended, and the T1 DFCD may be deferred on a Day-for-Day basis, in the event of Force Majeure affecting Seller that delays the Designated Train becoming commercially operable; provided that such extension of the window period or deferral of the T1 DFCD shall not exceed four hundred fifty-five (455) Days in aggregate.
CEILLC and O&M Services hereby agree that no payments shall be due from CEILLC to O&M Services with respect to the Non-Cash Compensation Reimbursement Obligations until the last Business Day of the first full calendar quarter following the calendar quarter in which Train 1 DFCD occurs.
