Device Accessories definition

Device Accessories means those types of accessories sold by PARI as of the Effective Date or during the term of this Agreement for use with Devices, which are not specific to the drug substance being delivered by such Devices, including e.g. power adapters, carrying cases, face masks, and any replacement parts associated with the foregoing.
Device Accessories means accessories made available by PARI, for use with the Device including, but not limited to, nebulizer handsets, replacement aerosol heads, membranes, cleaning devices, and any other accessories needed on a country by country basis (e.g. Durgol solution for a country that has hard water).
Device Accessories means accessories made available by PARI for use with the Device or as replacement components, as set forth in the applicable Territory-Specific Appendix. For clarity, the Parties agree that the Device Accessories will not include the [***] or any other closed system component.

Examples of Device Accessories in a sentence

  • PARI agrees to deliver, either directly to customers or through a distributor, or to Transave, at Transave’s option, on a country by country basis, those quantities of Devices and Device Accessories for commercial use in accordance with the terms set forth in Exhibit 8.9. The Parties shall negotiate in good faith and enter into, in a timely manner, a Commercial Supply Agreement incorporating those terms.

  • PARI agrees to deliver those quantities of Devices and Device Accessories thereof ordered by Transave for clinical trials, FCA (Incoterms 2000) PARI’s facilities in Germany, by the delivery dates set forth in a purchase order in accordance with reasonable shipping instructions provided by Transave.

  • PARI shall supply Transave or its designee with all Devices, and Device Accessories, to the extent applicable, required for the conduct of clinical trials.

  • Transave covenants that it shall not, and it shall cause its Affiliates and permitted Sublicensees not to, exercise rights to manufacture the Device for use with the Drug Product, the Device, the Device Accessories or any components of any of the foregoing under the license of this Section 4.1 except pursuant to a fully executed Commercial Supply Agreement as set forth in Section 8.9 of this Agreement.

  • The provisions of this Section 7.5 apply equally to Device Accessories.

  • Chiesi may sell the Product, the Device Accessories, and the Device, at such prices, as Chiesi in its sole discretion, shall determine.

  • In accordance with the Commercialization Agreement, certain payments may be made by either Party to PARI with respect to distribution of Devices and/or Device Accessories which are sold for use with the Product (the “PARI Payments”).

  • In addition, subject to the Commercialization Agreement and PARI's compliance with its obligations thereunder, Kamada and/or PARI shall supply to Chiesi (including Chiesi’s sub-distributors) the necessary quantities of Device, as applicable, and Device Accessories, in accordance with the quantity of Products supplied to Chiesi.

  • Without derogating from Section 5.5 below, Chiesi undertakes to purchase all its requirements of the Products, the Device, as applicable, and the Device Accessories exclusively from Kamada and/or PARI.

  • Chiesi shall recognize 100% of the income from its sales of Products, Device Accessories, and the Device.

Related to Device Accessories

  • Accessories means all fixtures, equipment, systems, machinery, furniture, furnishings, appliances, inventory, goods, building and construction materials, supplies and other articles of personal property, of every kind and character, tangible and intangible (including software embedded therein), now owned or hereafter acquired by Grantor, which are now or hereafter attached to or situated in, on or about the Land or Improvements, or used in or necessary to the complete and proper planning, development, use, occupancy or operation thereof, or acquired (whether delivered to the Land or stored elsewhere) for use or installation in or on the Land or Improvements, and all Additions to the foregoing, all of which are hereby declared to be permanent accessions to the Land.

  • Devices means any and all devices owned or purchased from time to time by Party A and utilized for the purposes of the provision of the Services.

  • Modules means the Base Modules and Extended Modules.

  • Data Processing Equipment means any equipment, computer hardware, or computer software (and the lease or licensing agreements related thereto) other than Personal Computers, owned or leased by the Failed Bank at Bank Closing, which is, was, or could have been used by the Failed Bank in connection with data processing activities.

  • Appliances means and include electrical, mechanical and electronic appliances such as refrigerator, television, DVD player, videocassette recorder/player, washing machine, microwave oven, music system, personal computer, laptops and air-conditioner contained or fixed in the Insured’s home for domestic use.

  • Equipment is all “equipment” as defined in the Code with such additions to such term as may hereafter be made, and includes without limitation all machinery, fixtures, goods, vehicles (including motor vehicles and trailers), and any interest in any of the foregoing.

  • Engines means, as of any date of determination, all Engines then leased hereunder.

  • Systems means servers, hardware systems, databases, circuits, networks and other computer and telecommunications assets and equipment.

  • Medical equipment means equipment used in a patient care environment to support patient treatment and diagnosis.

  • Electrical equipment means underground equipment that contains dielectric fluid that is necessary for the operation of equipment such as transformers and buried electrical cable.

  • Device means instruments, apparatus, and contrivances, including their components, parts, and

  • Electronic Equipment means the items as specified in the Schedule and which are contained or fixed at or in the Insured Premises.

  • Apparatus means electrical apparatus and includes all machines, fittings, accessories and appliances in which conductors are used;

  • Secondary Systems means control or power circuits that operate below 600 volts, AC or DC, including, but not limited to, any hardware, control or protective devices, cables, conductors, electric raceways, secondary equipment panels, transducers, batteries, chargers, and voltage and current transformers.

  • Cell means a single encased electrochemical unit containing one positive and one negative electrode which exhibits a voltage differential across its two terminals.

  • Equipments and ‘Plants’ shall mean and include all sorts of machineries and accessories, apparatus, instruments, components manufactured articles and parts etc. to be supplied or provided by the contractor under the terms of the contract , unless otherwise specified

  • Microorganisms (1 2) means bacteria, viruses, mycoplasms, rickettsiae, chlamydiae or fungi, whether natural, enhanced or modified, either in the form of "isolated live cultures" or as material including living material which has been deliberately inoculated or contaminated with such cultures.

  • Tooling means tooling inventory, including but not limited to dies, molds, tooling, casting patterns, gauges, jigs, racks and stands for engines, cowls, radome and wheels, aircraft jacks, test benches, test equipment, lathes, welders, grinders, presses, punches and hoists and other similar items (whether or not completed or fixed or handheld).

  • Optical means services related to the provision of glasses, contact lenses, tests and treatments carried out by a registered optometrist or ophthalmologist.
