The Owner shall acquire all of Contractor’s right, title and interest in and to all Contractor Developed Design Technology by written assignment or as a work for hire.
It is expected that output specifications will be prepared on the basis of designs completed to RIBA Plan of work stage 3 – Developed Design.
The design by a User’s design team under this Framework will cease by the point at which the project reaches RIBA Work Stage 3 – Developed Design if no transfer is agreed.
In case of abandon prior to awarding building contracts, the fee rate is based on the final estimate of the projected cost of construction excluding VAT, established by the Architect at the end of the Developed Design Stage or, if the Agreement is terminated prior to this Stage, the initial budget excluding VAT of constructions as estimated by the Architect.
The Architect collates the project documents prepared during the Developed Design and Technical Design Stages necessary for the contractors to appreciate the type, the quantity, the quality and the extent of their services and to prepare their tenders, namely: plans, sections and elevations at an appropriate scale, generally 1:50, all necessary details at appropriate scales, detailed separate trade specifications, a standard tender form and an outline construction programme.
Unless directed by the Corporation otherwise, Contractor may maintain a reasonable number of copies of Contractor Developed Design Technology for archival purposes only.
Contractor hereby assigns all its right, title and interest in such Contractor Developed Design Technology to the Owner, and Contractor shall execute any documents and otherwise assist in obtaining, maintaining, or enforcing the Owner’s intellectual property rights in and to Contractor’s Developed Design Technology, as the Owner may reasonably require to preserve the Owner’s rights therein.
Unless directed by the Owner otherwise, Contractor may maintain a reasonable number of copies of Contractor Developed Design Technology for archival purposes only.
