Developed Content definition

Developed Content. As between you and ADNM, any and all text, graphics, audio, video, artwork and designs created by ADNM or its employees or agents during the Term for use solely on the Store and/or the Artist Site, including any additions to or modifications of Artist Content made by ADNM or its employees or agents, (collectively, the "Developed Content"), shall be your sole and exclusive property. All Developed Content shall be deemed included in the license granted by you under paragraph 8(a) above.
Developed Content means all multimedia content, curriculum, or materials developed by ViaGrafix using Street Products, prior to and during the term of this contract.

Examples of Developed Content in a sentence

  • As between you and ADNM, any and all commerce technology, HTML formatting code, source and object code, programming code and software, as well as all text, graphics, audio, video, artwork and designs provided by ADNM in connection with this Agreement which does not constitute Developed Content (collectively, the "ADNM Content") shall be ADNM's sole and exclusive property.

  • Some Developed Content may include AWS Content or Third Party Content provided under a separate license.

  • Upon expiration of the Term, you shall continue to have the ownership of or right to use, as applicable, the Artist Content and Developed Content in accordance with the terms of this paragraph 8 free and clear of any claim or encumbrance by ADNM or any third party deriving rights through ADNM.

  • Any Developed Content provided to you by AWS as part of the AWS Professional Services under a SOW is licensed under the following terms: • AWS licenses any Documents to you under the Creative Commons Attribution 4.0 International License (CC-BY 4.0); and • AWS licenses any Software to you under the Apache License, Version 2.0.

  • Subject to any non- Disclosure agreement in effect between you and AWS, AWS is not precluded from developing, using, or selling products or services that are similar to or related to the Developed Content.

  • In the event (and to the extent) that the Production Work or the Developed Content created by StarMedia hereunder or any part or element thereof is found as a matter of law not to be a "work made for hire" within the meaning of the Act, StarMedia hereby conveys and assigns to Company the sole and exclusive right, title, and interest in the ownership to the Production Work and all such Developed Content, and all copies of any of them, without further consideration.

  • StarMedia expressly acknowledges that the Parties have agreed that all aspects of the Production Work and Developed Content and all work in process in connection therewith are to be considered "works made for hire" within the meaning of the Copyright Act of 1976, as amended (the "Act"), and that Company is to be the "author" within the meaning of such Act.

  • Notwithstanding the foregoing, Company shall own all right, title, and interest in and to the Production Work and to any content created by StarMedia at the request of Company under this Agreement at the Company's cost and expense ("Developed Content"), including all Intellectual Property Rights therein.

Related to Developed Content

  • Licensed Content means those articles or other parts of a Licensed Title which form part of the content licensed (including all content published during the Subscription Period to which access and use rights are granted under this Licence, and including all Previously Subscribed Material).

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Developed IP means any Intellectual Property Rights that are conceived or reduced to practice, or otherwise created or developed, by or on behalf of a Party, its Affiliates or sublicensees, alone or together with one or more Third Parties, during the Term in connection with the Development, Manufacture, or use of the Compound or any Product.

  • Recycled content means the percentage of a product composed of recovered material, or post- consumer recovered material, or both.

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of Xxxxxx Corp. II during the term of the Development Agreement.

  • Imported content means that portion of the bidding price represented by the cost of components, parts or materials which have been or are still to be imported (whether by the supplier or his subcontractors) and which costs are inclusive of the costs abroad, plus freight and other direct importation costs such as landing costs, dock dues, import duty, sales duty or other similar tax or duty at the South African place of entry as well as transportation and handling charges to the factory in the Republic where the supplies covered by the bid will be manufactured.

  • User Generated Content means any content that originates from End Users in any format, including graphics, text, or voice content published through or as part of a Software Title.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Third Party Content means all software, data, text, images, audio, video, photographs and other content and material, in any format, that are obtained or derived from third party sources outside of Oracle that You may access through, within, or in conjunction with Your use of, the Services. Examples of Third Party Content include data feeds from social network services, rss feeds from blog posts, Oracle data marketplaces and libraries, dictionaries, and marketing data. Third Party Content includes third-party sourced materials accessed or obtained by Your use of the Services or any Oracle-provided tools.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Source-image receptor distance means the distance from the source to the center of the input surface of the image receptor.

  • VOC content means the total weight of VOC in a product expressed as a percentage of the product weight (exclusive of the container or packaging), as determined pursuant to sections 94515(a) and (b).

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Research Results means any technical result acquired based on the Collaborative Research, including, but not limited to, any invention, idea, design, copyrightable work and know-how which relates to the purpose of the Collaborative Research.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • User Content means any comments, remarks, data, feedback, content, text, photographs, images, video, music, or other content or information that you or any Site Visitor or User post to any part of the Site or provide to Upwork, including such content or information that is posted as a result of questions.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Student Generated Content means materials or content created by a student in the services including, but not limited to, essays, research reports, portfolios, creative writing, music or other audio files, photographs, videos, and account information that enables ongoing ownership of student content.

  • Promotional Materials means all sales representative training materials and all written, printed, graphic, electronic, audio or video matter, including, without limitation, journal advertisements, sales visual aids, formulary binders, reprints, direct mail, direct-to-consumer advertising, internet postings and sites and broadcast advertisements intended for use or used by either Party or its Affiliates or sublicensees in connection with any promotion of a Product.

  • Third Party Material means software, software development tools, methodologies, ideas, methods, processes, concepts and techniques owned by, or licensed to a third party and used by the Service Provider in the performance of the Services;

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • The Works/ Project means the works to be executed or done under this contract.

  • Developed Property means all Assessor’s Parcels of Taxable Property for which Building Permits were issued on or before May 1 of the prior Fiscal Year, provided that such Assessor's Parcels were created on or before January 1 of the prior Fiscal Year and that each such Assessor's Parcel is associated with a Lot, as determined reasonably by the Board.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.
