Design Mark definition

Design Mark means a mark consisting of a graphic design, stylized logo, or image, without words and/or letters. For greater certainty, a “Design Mark” includes marks made up solely of design elements.

  • Licensor during the term of this License Agreement will not use, nor grant a license to any third party to use, the identical design of such ITT Industries Design Mark.

  • The Licensor shall have the right (but not the obligation), at its sole option and expense, to prepare, file, prosecute and maintain in its own name applications for registration and registrations for its Licensed Trademarks, except that the Team shall not file, and shall not permit its Affiliates or sublicensees to file any trademark that includes any Image of any portion of or the entirety of the Stadium appearance or design or that is otherwise similar, in part or in whole, to any Stadium Design Mark.

  • With respect to the ITT Industries Design Mark, ▇▇ch Extension Period may be extended by ITT Enterprises for an additional one (1) year period without approval by Licensor, and beyond the one (1) year period with approval by Licensor which approval shall not be unreasonably withheld.

  • During such five (5) year period, Licensor and its Subsidiaries shall have the right to revive its use and 7 8 license the use of the ITT Name and/or the ITT Marks on a paid-up, royalty-free, exclusive, worldwide basis (exclusive of the ITT Industries Design Mark) ▇▇ an exclusive basis for the ITT Destinations Business, and a nonexclusive basis for any businesses not included in the ITT Industries Business or the ITT Hartford Business.

  • As used herein, exclusive rights shall not prevent either Licensor, ITT Industries or ITT Hartford or their Subsidiaries or Sublicensees from using the ITT Name or the ITT Marks (except the ITT Industries Design Mark) ▇▇ywhere for any products or services outside the field of activity for which the exclusive rights are granted under this Agreement, even if such products or services are related or are shipped, sold or offered in the same channels of trade or sold to the same customers.

  • Notwithstanding Section 2.01 (ii), Licensor shall be free to grant exclusive rights hereafter to a third party to use the ITT Name and ITT Marks, except for the ITT Industries Design Mark, ▇▇r use with a business within the ITT Industries Expanded Business, provided that ITT Industries has not given notice to Licensor prior thereto that it has commenced operations in the identical business.

Related to Design Mark

  • Design Manual means the MOHLTC design manual or manuals in effect and applicable to the development, upgrade, retrofit, renovation or redevelopment of the Home or Beds subject to this Agreement.

  • Licensed Trademarks means the trademarks, service marks, trade dress, logos and other icons or indicia designated by SCEA in the SourceBook 2 or other Guidelines for use on or in connection with Licensed Products. Nothing contained in this Agreement shall in any way grant Publisher the right to use the trademark "Sony" in any manner. SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Licensed Marks means those MLS GRID and MLS trademarks, service marks, word marks, logos and distinctive marks of all other kinds, if any, set out in Exhibit A as Licensed Marks.

  • Design flow means the average annual flow or average daily flow specified in an approved facilities plan or approved plans and specifications, the flow specified in a WPDES permit, or the flow required to meet performance standards.

  • Licensed Trademark means those Trademarks set forth on Exhibit A attached hereto and such other Trademarks as may be designated by NovaDel in writing from time to time, and any registrations of the foregoing and pending applications relating thereto.
