Derived Assets definition

Derived Assets means all Securities, Rights or other property of a capital nature which accrue or are offered, issued or paid at any time (by way of bonus, rights, redemption, conversion, exchange, substitution, consolidation, subdivision, preference, warrant, option, purchase or otherwise) in respect of:-
Derived Assets means shares, warrants, and other securities or assets obtained by the Issuer as a consequence of it making or holding a Loan, or in connection with a restructuring or composition in relation to a Loan in which the Issuer participates.
Derived Assets means all Shares, rights or other property of a capital nature which accrue or are offered, issued or paid at any time (by way of bonus, rights, redemption, conversion, exchange, substitution, consolidation, subdivision, preference, warrant, option, purchase or otherwise) in respect of:- (A) the Original Shares; or (B) any Further Shares; or (C) any Shares, rights or other property previously accruing, offered, issued or paid as mentioned in this definition.

  • The Mortgagor shall ensure that the Original Shares, any Further Shares and any Shares comprised in any Derived Assets are and remain free from any restriction on transfer or rights of pre-emption, except as otherwise permitted by the Loan Agreement.

  • If an Affected TA Signatory makes an Affected Intermediary Collateralisation Election, such Affected TA Signatory covenants to transfer to the Company all Derived Assets forming part of any Asset Allocation in respect of that Affected TA Signatory and Affected Intermediary (the liability of such Affected TA Signatory in respect of such Derived Assets being “Affected Intermediary Derived Asset Liability”).

Derived Assets means all Investments, rights or other property of a capital nature which accrue or are offered, issued or paid in respect of any Investments or any Derived Assets. This may occur, among other ways, by way of bonus, rights, redemption, conversion, exchange, substitution, consolidation, sub-division, preference, warrant, option or purchase.
Derived Assets means, with respect to the Company, any Shares, rights or other property of a capital nature which accrue or are offered, issued or paid at any time (whether by way of rights, redemption, substitution, exchange, conversion, purchase, bonus, consolidation, subdivision, preference, warrant, option or otherwise) in respect of: (a) the Original Shares; (b) any Further Shares; and (c) any Shares, rights or other property previously accruing, offered, issued or paid as mentioned in this definition, provided, however, that "Derived Assets" shall not include any Excluded Assets.
