Derivative Material definition

Derivative Material means all notes, analyses, compilations, studies, summaries, or other material, however documented, containing or based, in whole or in part, on Confidential Information.
Derivative Material means any parts, progeny, replicates, expression or transcription products, or Modifications obtained by OXIS from or with any Developed Result. The Derivative Material shall be Confidential Information of MCIT.
Derivative Material means any material, including any text, graphics or story ideas, concepts or characters, which is based upon, or derived from, NBC Material (i.e., any "derivative" thereof) as well as the "look and feel" thereof and of the pages and areas of NBC.▇▇▇ ▇▇▇ myLAUNCH on which such material appears, regardless of which party actually produces it.

  • In addition, OXIS, on behalf of itself and any of its employees who perform any work with respect to the foregoing, hereby irrevocably waives any right to assert any moral right against MCIT or any third party with respect to the Developed Results and Derivative Material and/or to any Intellectual Property Rights therein.

  • LAUNCH acknowledges that any use by it of any NBC Material, including any NBC Branding, or any Derivative Material shall be subject to prior review and written approval by NBC which review and approval may be withheld by NBC in its sole discretion as described in Section 2(d).

  • Upon the termination of this Agreement, LAUNCH will immediately remove such NBC Branding, other NBC Material or Derivative Material from the Co-Branded Areas and return any copies thereof to NBC.

  • In addition, MCIT’s Confidential Information shall include any information or data specifically pertaining to the Developed Result, Derivative Material and MCIT Technology, regardless of whether marked as confidential or not.

  • The parties acknowledge that NBC may freely exploit and distribute the NBC Material and Derivative Material which appears on any co-branded myLAUNCH pages or elsewhere as well as any derivatives thereof without any obligation of any kind to LAUNCH.

  • Nothing written in this Agreement nor shall the performance of the Project by MCIT shall transfer or otherwise convey to OXIS any Intellectual Property Right to the Developed Results and Derivative Material.


More Definitions of Derivative Material

Derivative Material means any materials or products that are physically derived from the Material, including, without limitation, differentiated cell lines or populations derived from the Material provided that such cell lines or populations do not possess stemness.
Derivative Material means material that originated from covered material that was discarded but that no longer constitutes packaging or food service ware, as defined in this chapter. If a substance comprises both material originating from covered material and material not originating from covered material, only the portion originating from covered material constitutes derivative material. References in this chapter to “covered material” that has entered the supply chain from collection to end markets refer both to covered material and the derivative material originating from covered material.
Derivative Material means any Material that is made by or under authority of ExxonMobil or an ExxonMobil Affiliate (but not by Symyx) subsequent to the synthesis or identification of a Lead Material if: (i) it is prepared from a chemical or physical modification of the Lead Material; or (ii) it is prepared utilizing a synthesis recipe that is documented in the Research Project from which the Lead Material resulted, or a modification thereof, and the Material that results was prepared with the intent of preparing an improved Lead Material for the same use; or (iii) it is within the scope of the claims of a Program Patent for the Lead Material; or (iv) it is a Material that is prepared from another Derivative Material. Notwithstanding the above, no Material will be deemed to be a Derivative Material if it resulted from Independent Research or if prepared * after the confirmation of the Lead Material to which it corresponds, such confirmation to be effected in accordance with Exhibit F hereto, unless such Derivative Material is included within (i) through (iv) during such *. Derivative Materials shall only become subject to the royalty obligations set forth in this Agreement following selection of a Research Project as a Royalty-Bearing Project in which the corresponding Lead Material was identified, and then, only to the extent that they are utilized within the scope of the Royalty-Bearing Project for the corresponding Lead Material. Once Symyx has selected all * Royalty-Bearing Projects, Derivative Materials with royalty-bearing obligations shall be limited to only those Derivative Materials that correspond to Lead Materials in the *. Following expiration of the time period set forth in 8.07.9, Derivative Materials with royalty-bearing obligations shall be limited to only those Derivative Materials that correspond to Lead Materials in the * Royalty-Bearing Projects*.
Derivative Material has the meaning set out in clause 6.7;

  • Derivative Product means a written contract or agreement between the Authority and a Reciprocal Payor, which provides that the Authority’s obligations thereunder will be conditioned on the absence of (a) a failure by the Reciprocal Payor to make any payment required thereunder when due and payable, or (b) a default thereunder with respect to the financial status of the Reciprocal Payor; and:
