When it is stated in this Lease that an installment of the Security Deposit, Base Rent, Maintenance Rent or any other payment is due or must be paid or made by LESSEE by a specific date, then such payment actually must be received by LESSOR's Bank on or before such specific date, even if, in order for such payment to be received by LESSOR's Bank by such specific date, LESSEE must initiate the wire transfer prior to such specific date.
Notwithstanding the foregoing, the following provisions of the Master Lease are expressly not incorporated into this Sublease: (1) the definitions of Security Deposit, Base Operating Expenses, and Tenant’s Delay, and (2) Sections 4.1, 4.3, 14.23, 15.1, 15.2, and such other terms of the Master Lease which are inapplicable, inconsistent with, or specifically modified by the terms of this Sublease (collectively, the “Excluded Master Lease Provisions”).
At the time any payment is made hereunder, LESSEE will advise LESSOR in writing of the payment being made by LESSEE and the allocation of such payment to the Security Deposit, Base Rent, Maintenance Rent, Supplemental Rent, Default Interest and any other amounts then payable by LESSEE.
All payments (including the Rent Deposit, Base Rent, Additional Rent, the Damage Deposit {as hereinafter defined}, Utilities {as hereinafter defined} and all other amounts due Landlord pursuant to this Agreement) shall be made by Tenants to Landlord (i) electronically to an account designated by Landlord, or (ii) in one or more checks in one envelope to Landlord’s mailing address set forth in the preamble to this Agreement on or before their due date and without demand.
The premium to be paid by Purchaser to Seller shall be based upon the Available Core Deposit Base as determined in Section 1.01(b) hereof.
If the parties are able to successfully negotiate such terms, the space shall be added to the Subleased Premises pursuant to an amendment to this Sublease; provided that the space shall be delivered as-is, the sublease shall be subject to Landlord's consent, and the Deposit, Base Rent and Subtenant's Percentage Share shall all be increased to reflect the negotiated terms and additional square footage.
The security deposit will be three (3) months Security Deposit Base Rent which equates to One Hundred Twenty Seven Thousand Five Hundred Seventeen Dollars and no cents ($127,518.00).
The effective rental rate over the Term of the lease is calculated to be equal to One and 89/100 Dollar ($1.89) per RSF (the “Security Deposit Base Rent”) or $42,506 Security Deposit Base Rent per month.
The premium due from the Purchaser to the Seller shall equal seven percent (7%) of the Available Core Deposit Base.
LANDLORD, in addition to the other rights and remedies of LANDLORD under any provision of this Lease or under any statute or rule of law, may retain as liquidated damages any Security Deposit, Base Rent, Additional Rent or moneys received by LANDLORD from TENANT or others on behalf of TENANT.
