Dependent Service Elements The ICT Services are dependent on access to Curriculum content via the Virtual Campus.
Dependent Service Elements The delivery of the Target Setting and Performance Monitoring Services is dependent on the delivery of: (a) the delivery of PE – which forms part of the education offer to Young People but is delivered by the YOI; and (b) work-related cleaning (and where relevant, catering) activities – which links to the corresponding parts of the education offer to Young People but is delivered by the YOI.

Notwithstanding the foregoing, Organon shall not be required to put alternative arrangements in place under this Section 2.8.2(ii) if Merck itself is able to perform the service or services comprising the Dependent Service Element or if Merck can procure the Dependent Service Element from a Third Party at a reasonable cost.
If Prior Consent is denied, the party seeking consent is entitled to terminate the Service directly related to the Prior Consent and any Dependent Service, in each case upon 30 days notice.
If a Service and/or Service Element are Unavailable and such Unavailability causes a Dependent Service to become Unavailable then the Downtime experienced by the Dependent Service shall not count towards the Service Downtime of that Dependent Service.
Where a high-speed Internet service having certain characteristics is required in order for us to be able to provide another Service (“Internet Dependent Service”), and the require Internet service is not available, we will be unable to provide the Internet Dependent Service, unless and until you make arrangements to obtain the required high-speed Internet service.
If any Service terminated pursuant to this Section 3.3 is necessary to provide any Dependent Service, then such Dependent Service shall also be terminated.
