Dental Professional means any licensed dental professional working at a Dental Practice, whether an independent contractor or employee, including any dentist, dental hygienist, anesthetist and other such position for which licensure is required by law, who is employed or otherwise retained by the Provider to provide Dental Services to patients.

Dental Professional means, in relation to a dentist or specialist dentist, a dental therapist, dental hygienist, and/or oral health therapist who has a Professional Relationship with a general dentist or specialist dentist.

Dental Professional means a Dentist, Dental Hygienist, or a Dental Assistant whom the Department accepts as qualified to perform a dental health service. All Dentists and Dental Hygienists shall only work within the scope of their license. (See Section 3.2.5).

• The Provider shall ensure that Dentist(s) and each Dental Professional associated with the Dental Practice are duly licensed by the State and in compliance with all applicable federal and local laws.

• Provider shall immediately inform Dental Cooperative in the event that any disciplinary or professional malpractice action is initiated against Provider, Dentist(s) or any Dental Professional associated with the Dental Practice.

• Provider shall continue to require that such provisions be agreed to in a written agreement with any Dental Professional who is hired by Provider.

• This Contract is to indemnify the Company in respect of the liability that may accrue to the Company as a result of loss or losses under Policies classified by the Company as Medical Malpractice, General Liability or Dental Professional Liability, written or renewed during the term of this Contract by or on behalf of the Company, subject to the terms and conditions herein contained.

• Prior to Closing, the Provider shall enter into an agreement with each Dental Professional consistent with the terms of Article 4 of this Agreement, and in particular that binds each Dental Professional to covenants not to compete and not to solicit identical to the covenants contained in Article 4 hereof, to become effective upon termination of such Dental Professional’s relationship with Provider.

• Provider’s written agreement with each Dental Professional (see Section 4.5 above) shall require the Dental Professional to obtain continuing insurance coverage after termination of the Dental Professional’s relationship with Provider, if such insurance is on a claims made basis, through the applicable statute of limitations for dental malpractice actions.

• Dental Professional will provide each sample to ▇▇▇▇▇▇▇ at no cost but ▇▇▇▇▇▇▇ will supply the parts for the sample.

• Dental Professional will purchase all of its requirements of components and parts for EMA Appliances exclusively from ▇▇▇▇▇▇▇ or, if ▇▇▇▇▇▇▇ cannot supply sufficient quantities, only from ▇▇▇▇▇▇▇-approved suppliers.

• In the event that the Dental Professional who created your profile on the Open Wide Dentist (OWD) Solution ceases to subscribe to the OWD Doctor Portal (Outgoing Professional) and a substitute Dental Professional is not allocated to your profile on the Open Wide Dentist (OWD) Solution within twelve (12) months from the date that the Outgoing Professional’s account on the Open Wide Dentist (OWD) Solution is deactivated (Incoming Professional), this Agreement will automatically terminate.

• As a condition to the effectiveness of Dental Professional’s license under this Agreement, to insure quality control Dental Professional must make one EMA Appliance for ▇▇▇▇▇▇▇; and must make one EMA Appliance at ▇▇▇▇▇▇▇’▇ request, but no more than once per year.
