Denied Party definition

Denied Party means a company or an individual subject to denial orders or otherwise restricted or prohibited from engaging in transactions, as listed by various governments or organizations (United Nation, United States, European Union, EU member states, Singapore, Hong Kong, etc.). Such lists are made publicly available by the said organizations and governments. “Distributor” means a company authorized by Thales to distribute Products and Support Services in the Territory through resellers to End Customers.
Denied Party means a party, to whom Seller (i) cannot sell to, (ii) cannot directly or indirectly provide an economic resource to, and/or (iii) cannot otherwise deal with according to Embargo. A party, who controls, is controlled by or is under common control with a Denied Party according to the aforementioned definition, shall itself also be considered as a Denied Party. An entity is deemed to control another if it owns directly or indirectly a sufficient voting interest to elect a majority of the directors or managing authority, or to otherwise direct the affairs or management of the other entity.
Denied Party means any individual, entity, or sector subject to any form of economic sanctions or trade restrictions pursuant to any Sanctions Laws and Regulations.

  • Subcontractor shall immediately notify SRI if it is or becomes listed on any Excluded or Denied Party List of an agency of the U.S. Government or its export privileges are denied, suspended, or revoked.

  • The Buyer has the right to termination for cause pursuant to sec- tion 20.2 of this Conditions of Purchase without ob- serving a period of notice if the Vendor or its Sub- contractor is a Denied Party.

  • A Denied Party is a natural or legal per- son (i) with whom/which the Buyer is not author- ised to provide any economic resources either di- rectly or indirectly and/or (ii) with whom/which the Buyer is not authorised to have a business re- lationship, be it directly or indirectly.

Related to Denied Party

  • Notified Party has the meaning specified in Section 13.2.

  • Covered Party has the meaning assigned to it in Section 9.21.

  • Indemnified Party’s Group means the Seller Group (with respect to a Seller Indemnified Party) or the Purchaser Group (with respect to a Purchaser Indemnified Party).

  • BRRD Party means any Underwriter subject to Bail-in Powers.

  • Indemnified Party shall have the meaning set forth in Section 5(c).

  • Specified Party means the Administrative Agent, the Issuing Bank, the Swingline Lender and each other Lender.

  • Third party claimant means any individual, corporation, association, partnership, or other legal entity asserting a claim against any individual, corporation, association, partnership, or other legal entity insured under an insurance policy or insurance contract.

  • Tax Indemnified Party shall have the meaning set forth in Section 7.6(d).

  • Unlicensed person means any person who is not a licensed dealer under this chapter.

  • Third Party IP Claim has the meaning given to it in clause E8.7 (Intellectual Property Rights).

  • Initiating Party means a party who gives notice under section 2 of this Schedule;

  • Licensed person means an individual who is licensed or otherwise legally authorized to practice a professional service by a court, department, board, commission, or an agency of this state or another jurisdiction, any corporation or professional services corporation all of whose shareholders are licensed persons, any partnership all of whose partners are licensed persons, or any limited liability company all of whose members and managers are licensed persons.

  • Respondent Party has the meaning set forth in Section 7.6(b).

  • Indemnifying Party shall have the meaning set forth in Section 5(c).

  • Company Indemnified Party has meaning set forth in Section 8(b) hereof.

  • Manager Indemnified Party has the meaning set forth in Section 8(a) hereof.

  • D&O Indemnified Party has the meaning set forth in Section 5.8(a).

  • Privileged Person The Depositor and its designees, the Initial Purchasers, the Underwriters, the Mortgage Loan Sellers, the Master Servicer, the Special Servicer, any Excluded Mortgage Loan Special Servicer, the Trustee, the Certificate Administrator, any Additional Servicer designated by the Master Servicer or the Special Servicer, any Directing Holder, any Consulting Party, the Operating Advisor, any Affiliate of the Operating Advisor designated by the Operating Advisor, the Asset Representations Reviewer, any affiliate of the Asset Representations Reviewer designated by the Asset Representations Reviewer, any Companion Loan Holder that delivers an Investor Certification (subject to the next sentence and the proviso to this sentence), any other Person who provides the Certificate Administrator with an Investor Certification (subject to the next sentence and the proviso to this sentence), any Rating Agency, and any other NRSRO that delivers a NRSRO Certification to the Certificate Administrator; provided that in no event shall an Excluded Controlling Class Holder be entitled to Excluded Information with respect to a related Excluded Controlling Class Mortgage Loan with respect to which it is a Borrower Party (but this exclusion shall not apply to any other Mortgage Loan). In no event shall a Borrower Party (other than a Risk Retention Consultation Party if it is a Borrower Party) be considered a Privileged Person; provided that the foregoing shall not be applicable to, nor limit, an Excluded Controlling Class Holder’s right to access information with respect to any Mortgage Loan other than Excluded Information with respect to a related Excluded Controlling Class Mortgage Loan. For the avoidance of doubt, each applicable Directing Holder, Controlling Class Certificateholder and Consulting Party (other than the Risk Retention Consultation Party) and the Special Servicer shall, at any given time, only be considered a Privileged Person with respect to any Mortgage Loans or Serviced Loan Combinations for which it is not then a Borrower Party, and the limitations on access to information set forth in this Agreement will apply only with respect to the related Mortgage Loan for which the applicable party is a Borrower Party and only with respect to the related Excluded Information (in the case of the Directing Holder or a Controlling Class Certificateholder) or the related Excluded Special Servicer Information (in the case of the Special Servicer).

  • Tax Indemnifying Party shall have the meaning set forth in Section 7.6(d).

  • Defending Party has the meaning set forth in Section 14.2.3.
