All Obligations shall become immediately due and payable, without notice or demand, at the option of Assignee, upon the occurrence of any Event of Default, as such term is defined in the Duck Head Loan Agreement or the Delta Loan Agreement (each an "Event of Default" hereunder).
Debtors shall remain liable to Secured Party for any of the Secured Obligations remaining unpaid after the application of such proceeds, and Debtors shall pay Secured Party on demand any such unpaid amount, together with interest at the rate then the Obligations set forth in the Delta Loan Agreement and shall be part of the Secured Obligations secured hereby.

The Collateral is not subject to any liens, claims, mortgages, assignments, licenses, security interests or encumbrances of any nature whatsoever, except: (i) the security interests granted hereunder and pursuant to the Loan Agreements, (ii) (A) with respect to MJS, the security interests permitted under the Soffe Loan Agreement, and (B) with respect to Delta, the security interests permitted under the Delta Loan Agreement, and (iii) the licenses permitted under Section 3(e) below.
All notices, requests and demands hereunder shall be given (a) with respect to MJS and Secured Party, in the form and manner and to the addresses for such Person set forth in the Soffe Loan Agreement and (b) with respect to Delta, in the form and manner and to the address for Delta set forth in the Delta Loan Agreement.
