Delivery Delay definition

Delivery Delay means any delay in delivering the System DAP Yard on the Nominated Delivery Date, excluding permissible delays pursuant to Clause 20 of this Agreement and/or delays authorized in writing by the Buyer (such approval not to be unreasonably withheld or delayed).
Delivery Delay is defined in Article 6(A) (Delivery Delays).
Delivery Delay means only an actual delay resulting from Xxxxxxxx’s failure to promptly deliver the Premises to Tenant following Xxxxxx’s request following the full execution and unconditional delivery of this Lease.

Examples of Delivery Delay in a sentence

  • If the vessel has not arrived at the first discharge port for cargoes contracted under this tender, ready in all respects to discharge by 0900 hours on the thirty-fifth day after the end of the Laycan as fixed for vessels loading U.S. Gulf, or on the forty-fifth day after the end of the Laycan as fixed for vessels loading U.S. West Coast, a Delivery Delay Assessment will be imposed at $1.00 per metric ton per day in accordance with Proforma CP clause 41.

  • Delay in Delivery Delay in delivery of the order or order not received at the desired location on time, as specified.

  • Delivery Delay Assessment of USD 1.00 per metric ton per day (or pro-rata) will be imposed if the Vessel has not arrived at the first discharge port on or before the date stipulated in the freight offer as per requirement stated in para (1.g) of this RFP.

  • During Construction, the Consultant shall make all required checks of Construction tasks / components to ensure legitimacy of costs and efforts and report progress / findings in their Cost Management Monthly Reports.

  • In the event of a delay in the performance of work or in the submission of a deliverable under the Contract for which the Contractor is responsible, a Penalty for Delivery Delay shall be imposed.

  • In the event of a Delivery Delay we are additionally entitled to make all claims allowedby law.

  • If the vessel has not arrived at the first discharge port, ready in all respects to discharge by 0900 hours on the thirty-fifth day after the end of the Laycan as fixed for vessels loading U.S. Gulf, or on the forty-fifth day after the end of the Laycan as fixed for vessels loading U.S. West Coast, a Delivery Delay Assessment will be imposed at $1.00 per metric ton per day in accordance with Proforma CP clause 41.

  • Delivery Delay Assessment (DDA) will be incorporated into the CP assessed as follows: If the vessel has not arrived at the first discharge port, ready in all respects to discharge by 0900 hours on the thirty-fifth day after the end of the Laycan as fixed for vessels loading U.S. Gulf, or on the forty-fifth day after the end of the Laycan as fixed for vessels loading U.S. West Coast, a Delivery Delay Assessment will be imposed at $1.00 per metric ton per day in accordance with PFA CP clause 46.

  • To the extent that a Delivery Delay is due to Swedavia or someone for whom Swedavia is responsible (and the delay is not caused by a circumstance referred to in clause 15 below), the Supplier as sole consequence shall be entitled to an extension of time corresponding to the Delivery Delay and, where relevant and unless otherwise ensuing from the Contract, reasonable compensation for direct storage costs in connection with the Delivery Delay.

  • Swedavia’s right of cancellation in the event of a Delivery Delay follows from clause 17 below.


More Definitions of Delivery Delay

Delivery Delay means a delay that shall be deemed to have occurred if the Supplier has not delivered the Deliverables pursuant to the terms and conditions under these General Terms or otherwise separately agreed between the parties in writing (e.g. in the Purchase Order) in a timely manner in accordance with the agreed time plan;
Delivery Delay shall have the meaning assigned to such term in Section 5. 3(f).

Related to Delivery Delay

  • Delivery Date means the date or dates specified in the Purchase Order by which the Supplier is required to deliver the Work.

  • Share Delivery Date shall have the meaning set forth in Section 4(c)(ii).

  • First Delivery Date means the first date by which the commodity for a Futures Contract can be delivered in order for the terms of the Futures Contract to be fulfilled.

  • Delivery Day means a day other than a Saturday, a Sunday or any other day on which national banking associations are authorized to be closed. Any party may change its address for purposes of the receipt of notices and demands by giving notice of the change in the manner provided in this provision.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Scheduled Delivery Date means the Date on which the Seller is required to start delivering the power at the Delivery Point as per the terms and conditions of the PPA;

  • Delay Delivery Certification As defined in Section 2.02(a) hereof.

  • Supply Failure shall have the meaning ascribed to it in Section 2.8.

  • Termination Delivery Unit means (a) in the case of a Termination Event, an Event of Default or an Extraordinary Event (other than an Insolvency, Nationalization or Merger Event), one Share or (b) in the case of an Insolvency, Nationalization or Merger Event, a unit consisting of the number or amount of each type of property received by a holder of one Share (without consideration of any requirement to pay cash or other consideration in lieu of fractional amounts of any securities) in such Insolvency, Nationalization or Merger Event. If a Termination Delivery Unit consists of property other than cash or New Shares and Counterparty provides irrevocable written notice to the Calculation Agent on or prior to the Closing Date that it elects to receive cash, New Shares or a combination thereof (in such proportion as Counterparty designates) in lieu of such other property, the Calculation Agent shall replace such property with cash, New Shares or a combination thereof as components of a Termination Delivery Unit in such amounts, as determined by the Calculation Agent in its discretion by commercially reasonable means, as shall have a value equal to the value of the property so replaced. If such Insolvency, Nationalization or Merger Event involves a choice of consideration to be received by holders, such holder shall be deemed to have elected to receive the maximum possible amount of cash.

  • Initial Delivery Date has the meaning set forth in Section 1.1(d).

  • Final Delivery Date means the date the Supplier is entitled to deliver the Products form the Purchaser even if the Products have not been called off as agreed in any Sales Agreement.

  • Share Delivery Quantity For any Settlement Date, a number of Shares, as calculated by the Calculation Agent, equal to the Net Share Settlement Amount for such Settlement Date divided by the Settlement Price on the Valuation Date for such Settlement Date. Net Share Settlement Amount: For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Delivery Date(s) means the date or dates requested for delivery of Products as set forth in any Order.

  • Delay Delivery Mortgage Loans The Mortgage Loans for which all or a portion of a related Mortgage File is not delivered to the Trustee or to the Custodian on its behalf on the Closing Date. The number of Delay Delivery Mortgage Loans shall not exceed 25% of the aggregate number of Mortgage Loans as of the Closing Date.

  • Notice Event means any of the events enumerated in paragraph (b)(5)(i)(C) of the Rule and listed in Section 4(a) of this Disclosure Agreement.

  • Landlord Delay means any actual delay in the completion of the Improvements as a result of Landlord’s breach or material default under this Third Amendment (including, without limitation, any breach of representation or warranty); any delays relating to any of the matters specified in Section 5.3 of Exhibit B; any failure to respond to any items required to be furnished or approved by Landlord within a time period expressly set forth in this Third Amendment or the Lease (unless a deemed approval is specified, in which case no Landlord Delay shall be assessed); Landlord’s failure to allow contractors access to the Building or Premises as scheduled in advance with the Building’s property manager or Landlord’s request for material changes in the fmal Plans and Specifications after Landlord’s approval thereof (unless such request was caused by an error or omission by Tenant), provided, however, that notwithstanding the foregoing, no Landlord Delay shall be deemed to have occurred unless and until Tenant has delivered to Landlord a factually correct written notice (the “Landlord Delay Notice”), specifying the bona fide action or inaction which Tenant contends constitutes the Landlord Delay. If such action or inaction is not cured by Landlord within two (2) business days of Landlord’s receipt of such Landlord Delay Notice, then the Landlord Delay shall be deemed to have occurred as of the expiration of such two (2) business day period. A delay in construction of the Improvements due to a Tenant Delay (as defined in Exhibit B, attached to and part of the Original Lease), any Force Majeure event or a delay by any governmental authority (including but not limited to the City of Los Angeles) shall not be deemed a Landlord Delay. Any Landlord Delay Notice shall be sent to the notice address set forth in the Lease with copies to (a) to the property manager at the management office of the Building; and to (b) Xxxxxxx Xxxxxx Management LLC, 000 Xxxxxxxx Xxxxxxxxx, Xxxxx 000, Xxxxx Xxxxxx, Xxxxxxxxxx 00000, Attention: Leasing Legal Department Manager.

  • Price Failure means, with respect to a particular date of determination, the VWAP of the Common Stock on any Trading Day during the seven (7) Trading Day period ending on the Trading Day immediately preceding such date of determination fails to exceed the Floor Price (as adjusted for stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions occurring after the date hereof). All such determinations to be appropriately adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions during any such measuring period.

  • Delivery Year means the Planning Period for which a Capacity Resource is committed pursuant to the auction procedures specified in Tariff, Attachment DD, or pursuant to an FRR Capacity Plan under Reliability Assurance Agreement, Schedule 8.1. Demand Bid:

  • Service Failure means a failure by the Contractor to provide the Services in accordance with any individual service level described above (measured on a monthly/quarterly/annual basis)

  • Transaction Failure means the failure to consummate a Business Combination within 18 months of the Effective Date (or 24 months after the Effective Date, if a letter of intent, agreement in principle or definitive agreement has been executed within 18 months after the Effective Date and the Business Combination relating thereto has not yet been consummated within such 18-month period).

  • Delivery Condition has the meaning set forth in Section 2.1.

  • Tenant Delay Any event or occurrence that delays the completion of the Landlord Work which is caused by or is described as follows:
