Delek Logistics Services and the Management Members deem it advisable to amend and restate the First Amended and Restated LLC Agreement in its entirety as set forth herein.
Any losses or deductions arising in connection with the issuance or vesting of any Membership Interest in the Company issued in connection with the performance of services and after March 10, 2013, shall be specially allocated in full to Delek Logistics Services.
The Sharing Ratio represented by the Membership Interests forfeited pursuant to Section 14.3(a) shall be allocated to Delek Logistics Services.
All references in the LLC Agreement to (a) Delek US and/or (b) the sole Member of the Company shall, in each case, be replaced with and reference Delek Logistics Services.
