Delayed registration means the registration of any vital record one year or more after the date of occurrence of the vital event.

Nothing herein shall limit any Investor's right to pursue actual damages for the Company's failure to file the Registration Statement or to have such Registration Statement become or be declared effective by the SEC on or prior to the Required Effective Date in accordance with the terms of this Agreement."
