Definitive Schedule 14A means the Corporation's Definitive Schedule 14A, dated August 21, 2000 (as amended and supplemented after such date), filed by the Corporation with the SEC in connection with the solicitation of the Corporation's shareholders to approve, among other matters, (A) a wholly-owned subsidiary of the Successor Corporation (or in the event that the Voyager.net merger is completed prior to the ATX merger, the Delaware corporation surviving the Domestication Merger) merging with and into Voyager.net with Voyager.net remaining as the surviving corporation in the merger, or (B) the Delaware corporation surviving the Domestication Merger merging with and into ATX with ATX as the surviving corporation in the merger, or (C) the Domestication Merger.
