Deficient Services definition

Deficient Services has the same meaning given to it in clause 5.16(3).
Deficient Services means Services [**]
Deficient Services means any part of the Services not designed, provided, performed or completed in accordance with the Contract. For the avoidance of doubt and without limiting the generality of the expression, the term shall be taken to include any item of Equipment, Tools and Materials or services which does not or may not conform to the relevant standards or pass the tests prescribed in or to be inferred from the Contract.

Examples of Deficient Services in a sentence

  • In any other case the Service Provider must reimburse the Customer to the value of Deficient Services already paid by the Customer.

  • The Service Provider acknowledges and agrees that in no circumstances whatsoever will the Customer be liable to accept the balance of any Deficient Services or Deficient Contract Material as provided or delivered.

  • Rejection of Services The Customer will inspect and approve the Services provided by the Service Provider and will give notice to the Service Provider as to any Services which the Customer deems to be Deficient Services and the Customer may deduct from the invoiced amount a sum which pro rata reflects the cost charged with regard to such Deficient Services.

  • If the Customer has not inspected or approved the Services at the time of payment and subsequently discovers Deficient Services, the Service Provider will compensate the Customer by reimbursing it the sum calculated on a pro rata basis to reflect the cost of such Deficient Services ("the reimbursable sum").

  • PSG shall use commercially reasonable efforts to re-perform such Deficient Services as soon as possible.

  • Client will be entitled to dispute any payment obligation that relates to any Deficient Services, except that Client shall pay PSG any balance due for previously delivered and accepted Services if such accepted Services are not dependent upon delivery and function of any Deficient Services.

  • In the event that any Services fail to meet the foregoing performance standard (“Deficient Services”), Eurofins shall, as Client’s sole remedy, either re-perform the Deficient Services or refund to Client the fees paid for the Deficient Services.

  • With respect to the provision by the Eligible Recipient of additional resources to assist Supplier, the Parties will work together in good faith to best deploy and use such additional resources and Supplier [**] such additional resources provided such resources are reasonably necessary to restore the Deficient Services to the levels of quality and timeliness required by this Agreement.

  • Upon receipt of a claim for Deficient Services (“Claim”), Patheon will have the period specified in the Quality Agreement or as reasonably required for technical reasons, to advise Client by notice in writing whether it disagrees with the contents of the Claim.

  • To the extent that a Recall results from, or arises from Deficient Services related to Commercial Product only, Patheon will be responsible for the reasonable documented out-of-pocket expenses of Client for the Recall up to the limitation of liability in Section 12.7 of the body of the MSA and the Remedies provided in Section 12.5 shall be available to Client; provided however, that Patheon’s liability for Excluded Materials will be as set forth in Section 10 of this Commercial Schedule.
