DEFICIENCY GUARANTEE definition

DEFICIENCY GUARANTEE means the Deficiency Guarantee Agreement, dated June 5, 2001, between the Manufacturer and Beneficiary.
DEFICIENCY GUARANTEE means the deficiency guarantee [Ausfallsbürgschaft] granted by the Federal Republic of Germany and the German federal state of ▇▇▇▇▇▇▇▇▇▇▇ in accordance with the Federal/State Guarantor Decision [Bürgschaftsentscheidung] with respect to this Agreement for 70% of the total amount of the Facility. Differential has the meaning given to that term in subsection 7.4 b) (Mandatory prepayments).

Related to DEFICIENCY GUARANTEE

  • Subsidiary Guarantee means a Guarantee by a Subsidiary Guarantor of the Company’s obligations with respect to the Securities.

  • Guarantee means a guarantee (other than by endorsement of negotiable instruments for collection in the ordinary course of business), direct or indirect, in any manner (including letters of credit and reimbursement agreements in respect thereof), of all or any part of any Indebtedness or other obligations.

  • Security Guarantee means any guarantee of the obligations of the Company under this Indenture and the Securities by any Restricted Subsidiary in accordance with the provisions of this Indenture.

  • Subsidiary Guaranties means the Domestic Subsidiary Guaranty and each Foreign Subsidiary Guaranty.

  • Subsidiary Guarantee Agreement means a Subsidiary Guarantee Agreement substantially in the form of Exhibit B, and all supplements thereto made by the Subsidiary Guarantors in favor of the Administrative Agent for the benefit of the Lenders.
