Deferred Delivery Date definition

Deferred Delivery Date means the date specified by the Outside Director in his or her Deferral Election Form for issuance and delivery of certificates representing his or her Vested Deferred Shares, which shall be his or her termination of service with the Board, or a fixed date in the future. Notwithstanding the above, certificates representing an Outside Director’s Vested Deferred Shares (or the other consideration received with respect thereto) shall be issued and delivered within thirty (30) days following the first to occur of the Outside Director’s death, Disability (within the meaning of Code section 409A(a)(2)(C) and Treasury Regulation section 1.409A-3(i)(4)), or a Change of Control of the Company.
Deferred Delivery Date with respect to an Aircraft shall mean the Payment Date falling in the calendar month set opposite such Aircraft in Column (C) of Schedule I hereto; provided that if any such day is not a Business Day, such day shall be the next succeeding Business Day in the same calendar month and, if there is no such day, shall be the next preceding Business Day. The Deferred Delivery Date for any Aircraft may be accelerated as provided in Section 3(b) hereof.
