Deferred Acquisition Value definition
Deferred Acquisition Value has the meaning set forth in Section 9.07(b). Deferred Equity Consideration means the Common Stock to be issued to Holdings (or an affiliate of Holdings) pursuant to one or more Subsequent Transfers pursuant to Section 9.07(d) hereof in a number of shares of Common Stock, rounded upward to the nearest whole number, having a Fair Market Value on the Closing Date equal to the Deferred Acquisition Value. DGCL has the meaning set forth in Section 2.01(b).
