Deep Discount Stores definition

Deep Discount Stores means stores that offer for sale primarily discounted items that are typically surplus, liquidated, out of season, discontinued, salvaged, part of an odd or partially damaged lot of goods, etc. and include without limitation Odd Lot, Dohar Stores, Jacks $.99 Stores* etc, Deep Discount Stores do not include nationat mass retailers (e.g„ WalMart, Target, Kohl's, Best Buy, etc.), regional mass retailers (e.g., Caldor, Xxxx, Bradlees, etc,) or warehouse clubs (e.g., Costco, Sam's Club, etc.), In the event Licensor or Licensee obtains know}edge of any sale of Licensed Products by a distributor outside of the Channels of Distribution, the knowledgeable party shall immediately provide written notice to the other xxxxx of such unauthorized distribution. Licensee shall have a thirty (30) day cure period aner the date of notice to stop the alleged unauthorized distribution or, if not immediately stoppable, demonstrate to the sole satisfaction of Licensor Licensee's on-going efforts to address the situation. Notwithstanding the foregoing, Licensee may sell to Deep Discount Stores during the selE„off period upon prior written consent of Licensor.

  • S&P Discount Factor means for purposes of determining the Discounted Value of any S&P Eligible Asset, the percentage determined by reference to the rating on such asset and the shortest Exposure Period set forth opposite such rating that is the same length as or is longer than the S&P Exposure Period, in accordance with the table set forth below:

  • Fitch Discount Factor means the discount factors set forth in the Fitch Guidelines for use in calculating the Agency Discounted Value of the Company’s assets in connection with Fitch’s ratings then assigned on the Senior Securities.

  • Merchant discount means the fee or negotiated discount charged to a merchant by the financial institution for the privilege of participating in a program whereby a credit card is accepted in payment for merchandise or services sold to the credit card holder.

  • Non-Discount Mortgage Loan Any Mortgage Loan with an Adjusted Net Mortgage Rate that is greater than or equal to the Required Coupon.

  • Senior Discount Notes means the Company's 10 1/2% Senior Discount Notes --------------------- due March 1, 2007.

  • Discount Option Receivables shall have the meaning specified in Section 2.12. The aggregate amount of Discount Option Receivables outstanding on any Date of Processing occurring on or after the Discount Option Date shall equal the sum of (a) the aggregate Discount Option Receivables at the end of the prior Date of Processing (which amount, prior to the Discount Option Date, shall be zero) plus (b) any new Discount Option Receivables created on such Date of Processing minus (c) any Discount Option Receivable Collections received on such Date of Processing. Discount Option Receivables created on any Date of Processing shall mean the product of the amount of any Principal Receivables created on such Date of Processing (without giving effect to the proviso in the definition of Principal Receivables) and the Discount Percentage.

  • Specified Discount has the meaning set forth in Section 2.05(a)(v)(B)(1).

  • Specified Discount Proration has the meaning set forth in Section 2.05(a)(v)(B)(3).

  • Moody’s Discount Factor means the discount factors set forth in the Moody's Guidelines for use in calculating the Discounted Value of the Fund's assets in connection with Moody's long-term preferred share ratings of the VRDP Shares at the request of the Fund.

  • Proposed Discounted Prepayment Amount has the meaning specified in Section 2.05(d)(ii).

  • Offered Discount has the meaning set forth in Section 2.05(a)(v)(D)(1).

  • Solicited Discount Proration has the meaning set forth in Section 2.05(a)(v)(D)(3).

  • Solicited Discounted Prepayment Offer means the irrevocable written offer by each Term Lender, substantially in the form of Exhibit O, submitted following the Administrative Agent’s receipt of a Solicited Discounted Prepayment Notice.

  • Solicited Discounted Prepayment Amount has the meaning set forth in Section 2.05(a)(v)(D)(1).

  • Discount Security means any Security that provides for an amount less than the stated principal amount thereof to be due and payable upon declaration of acceleration of the maturity thereof pursuant to Section 6.2.

  • Solicited Discounted Prepayment Notice means an irrevocable written notice of a Borrower Solicitation of Discounted Prepayment Offers made pursuant to Section 2.11(a)(ii)(D) substantially in the form of Exhibit M.

  • Solicited Discounted Prepayment Response Date has the meaning set forth in Section 2.05(a)(v)(D)(1).

  • Submitted Discount has the meaning set forth in Section 2.05(a)(v)(C)(1).

  • Discount Factor means the percentage discount applied to additional APCs when more than one APC is provided during the same visit (including the same APC provided more than once). Not all APCs are subject to a discount factor.

  • Discount has the meaning set forth in Section 6.06.

  • Discount Mortgage Loan Any Mortgage Loan having a Net Mortgage Rate (or the initial Net Mortgage Rate) of less than the Discount Net Mortgage Rate per annum and any Mortgage Loan deemed to be a Discount Mortgage Loan pursuant to the definition of Qualified Substitute Mortgage Loan.

  • Discount Loan The Loans having Pass-Through Rates of less than 6.75%.

  • Specified Discount Prepayment Response means the irrevocable written response by each Lender, substantially in the form of Exhibit J, to a Specified Discount Prepayment Notice.

  • Specified Discount Prepayment Response Date has the meaning set forth in Section 2.05(a)(v)(B)(1).

  • Specified Discount Prepayment Amount has the meaning set forth in Section 2.05(a)(v)(B)(1).

  • Specified Discount Prepayment Notice means an irrevocable written notice of a Borrower Offer of Specified Discount Prepayment made pursuant to Section 2.11(a)(ii)(B) substantially in the form of Exhibit I.
