Deemed Change definition

Deemed Change means a Discriminatory Change in Law which does not require a Change as set out in paragraph (a) of the definition of Change but which results or will result in any Recurrent Cost Increase, Relevant Cost and/or Capital Cost Increase or any Recurrent Cost Saving or Relevant Saving; Default Interest Rate means a rate of interest per annum equivalent to 2% per annum above the base lending rate from time to time of the Royal Bank of Scotland plc; Delay Event means the occurrence of any of the following:
Deemed Change means a cost, liability or expenditure arising from a Discriminatory Change in Law or a Specific Change in Law or the provisions of clause 20.3.4 which results in Relevant Costs but does not require a change pursuant to paragraph (a) of the definition of a Change;

Examples of Deemed Change in a sentence

  • Provided that Executive remains in the employment of the Company as of the date 30 days preceding a Change of Control, or if there is a Deemed Change of Control, then upon the occurrence of the Change of Control or a Deemed Change of Control each stock option and other stock-based award previously granted to him shall continue to vest for so long as Executive's employment continues.

  • For this purpose "Bonus Amount" means the highest annual bonus paid to Executive in respect of the three consecutive fiscal years of the Company ended immediately prior to the Change of Control or Deemed Change of Control or, if greater, the highest annual bonus paid to Executive in respect of any annual period ended after the occurrence of a Change of Control or Deemed Change of Control, but prior to his Termination.

  • The Company shall pay Executive, within the time required by applicable California law, the sum of (A) his accrued unpaid base salary through the date of termination, (B) any prior year bonus earned but not paid and (C) the full value of all vacation accrued but not used as of the termination, determined as if the rules and practices applicable under the Company's vacation policy in place immediately prior to the Change of Control or Deemed Change of Control had remained in effect through the termination.

  • Any portion of the Award that is not vested after giving effect to such acceleration will terminate upon the Individual Deemed Change in Control.
