Desirable means a requirement having a significant degree of importance to the objective of the RFP
Appropriate means the treatment's timing and setting are proper and cost effective. Medical treatments which are not proven, effective and appropriate are not covered by the Plan.
determine or “determined” means as determined by the Board or the Committee (or its designee) in its sole discretion.
Protect means taking measures to safeguard personally identifiable information and prevent its breach that are functionally equivalent to those called for in that OMB memorandum and elaborated on in the [federal] General Services Administration (GSA) Directive CIO P 2180.1 GSA Rules of Behavior for Handling Personally Identifiable Information.
Necessary means more than desirable but less than indispensable or absolute necessity. Accordingly, the test is one of reasonable necessity and involves consideration of alternative measures which may make disclosure of the requested information unnecessary. Disclosure under the FOIA must therefore be the least intrusive means of achieving the legitimate aim in question.
Implement or “implementation” means the development or putting into place of a policy or procedure, including the appropriate training of all relevant personnel, and the consistent and verified performance of that policy or procedure in actual practice through the regular use of audit tools.

Discretion means in the sole discretion of the Committee, with no requirement whatsoever that the Committee follow past practices, act in a manner consistent with past practices, or treat an employee or consultant in a manner consistent with the treatment afforded other employees or consultants with respect to the Plan.

determines or “determined” means a determination made in the absolute discretion of the person making the determination.
Establish means the construction of a health care facility or the replacement of an existing facility on another site or the initiation of a category of service.
May means that a certain feature, component, or action is permissible, but not required.
Safeguard means any procedures, practices, or actions with respect to the Project, a Site or Work for the purpose of preventing, mitigating, or containing foreseeable accidents, injuries, damage, release of hazardous material or environmental harm.
Sole Discretion means the right and power to decide a matter, which right may be exercised arbitrarily at any time and from time to time.
best means most effective in achieving a high general level of protection of the environment as a whole.
Prudent means economically and otherwise reasonable in light of the social benefits to be derived from the proposed regulated activity provided cost may be considered in deciding what is prudent and further provided a mere showing of expense will not necessarily mean an alternative is imprudent.
Promote means to procure, manufacture, issue, sell, give, provide, lend, mail, deliver, transfer, transmit, publish, distribute, circulate, disseminate, present, exhibit, or advertise or to offer or agree to do any of the above.
FIT means physical size or mounting arrangement (e.g., electrical or mechanical connections).
Suitable in relation to material means suitable for the purpose for which it is used;
Reasonable Best Efforts means best efforts, to the extent commercially reasonable.
Reasonable in these circumstances means ‘using no more force than is needed’. The use of force may involve either passive physical contact, such as standing between pupils or blocking a pupil’s path, or active physical contact such as leading a pupil by the arm out of the classroom. Measures means any measures proposed by the Supplier or any subcontractor within the meaning of regulation 13(2)(d) of TUPE;
Advertise means the publication or dissemination of an advertisement.
undesirable practice means (i) establishing contact with any person connected with or employed or engaged by the Authority with the objective of canvassing, lobbying or in any manner influencing or attempting to influence the Bidding Process; or (ii) having a Conflict of Interest; and

Records means any written or recorded information, regardless of physical form or characteristics, which is produced or acquired by the Party in the performance of this agreement. Records produced or acquired in a machine readable electronic format shall be maintained in that format. The records described shall be made available at reasonable times during the period of the Agreement and for three years thereafter or for any period required by law for inspection by any authorized representatives of the State or Federal Government. If any litigation, claim, or audit is started before the expiration of the three-year period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved.
