The Swing Line Lender shall give prompt notice, but in any event not later than 1:00 p.m. (Charlotte, North Carolina time) to the Borrower and the Agent in the event that the Swing Line Lender declines to make such Swing Line Loan (a “Decline Notice”); it being understood that the failure of the Swing Line Lender to provide a Decline Notice in a timely manner shall be deemed the consent of the Swing Line Lender to provide such Swing Line Loan in accordance with the terms of this Agreement.
Promptly after receipt of a Swing Line Borrowing Notice, provided that the Agent has not received a Decline Notice from the Swing Line Lender in respect thereof, the Agent shall notify each Lender by fax, or other similar form of transmission, of the requested Swing Line Loan.
In the Decline Notice, the Managing Owner shall declare a “Special Redemption Period” during which time Limited Owners may elect to redeem their Units in the applicable Fund, upon proper written notice to the Managing Owner as described in the Decline Notice.
For the sake of clarity, if the Purchaser has timely delivered a Decline Notice to the Company pursuant to Section 9(t) hereof, the Purchaser shall not be obligated to purchase the Forward Purchase Securities at the Forward Closing.
Following receipt of such Decline Notice by the Company, this Agreement and Purchaser’s obligations hereunder shall automatically become null and void effective immediately prior to the Business Combination Closing.
