Promptly upon each of the Conditions Precedent being satisfied or waived (as applicable), Debtors’ Counsel will provide written notice to each of the Parties and each of the Parties that the Conditions Precedent have been satisfied and such notice will designate the Effective Date.
The Parties’ authorize the Debtors’ Counsel to date and release each Implementation Document on the Effective Date in accordance with Clause 8 (Authority to date and release Implementation Documents) above and each such Implementation Document shall become effective in accordance with its terms.
Prior to the Closing, without the requirement of posting a bond or other security, Sellers shall be entitled to an injunction or injunctions to enforce specifically Buyers’ obligation to deliver written instructions to Debtors’ Counsel to release the Escrow Amount to Sellers if and to the extent required by Section 2.3(b)(ii); provided that Sellers shall not be entitled to enforce specifically any other covenant or agreement prior to the Closing.
The Consenting Noteholder Group Counsel and the First Lien Ad Hoc Group Counsel shall be authorized to share such Public Disclosure, SEC Filings, and, upon written consent from the Debtors (email from Debtors’ Counsel being sufficient), the Mass Communications, with their respective clients.
