Debt Warrant definition

Debt Warrant means that certain Warrant to Purchase Shares of Class A Common Stock issued by Company in favor Investor in connection with the Note.

  • Prior to the Closing, Company will seek stockholder approval of all Pre-Paid Purchases that have been or may be issued hereunder covering the full Commitment Amount, the issuance of Purchase Shares under all Pre-Paid Purchases, the issuance of shares pursuant to the Note, the issuance of shares pursuant to the Warrant, and the issuance of shares pursuant to the Debt Warrant in excess of the Exchange Cap (the “Approval”).
